Description:
Our client, an American-origin PSF, is seeking a Legal Counsel to join a team of around ten people in downtown Luxembourg. This renowned company offers a unique opportunity to work in a stimulating and multicultural environment, at the heart of the financial sector.
Responsibilities:
LEGAL COUNSEL - YOUR RESPONSIBILITIES WILL INCLUDE:
- Being responsible for drafting and managing the minutes of board meetings, ensuring compliance with regulatory requirements and best practices.
- Managing the preparation and finalization of notarial deeds, in collaboration with notaries and other stakeholders, to ensure the legal validity of transactions.
- Providing legal expertise on aspects related to PE/RE funds, including structuring, transaction management, and investment monitoring.
- Overseeing capital increase processes, ensuring that all necessary documentation is complete, accurate, and compliant with regulations.
- Ensuring the company’s AML procedures are followed, monitoring and reporting any suspicious activity, while working with compliance teams to improve internal processes.
LEGAL COUNSEL - TO SUCCEED IN THIS ROLE, YOU MUST:
- Have solid legal experience in Luxembourg, demonstrating a deep understanding of local regulatory requirements and best practices.
- Show a good ability to manage multiple tasks and projects simultaneously, while maintaining a high level of accuracy and diligence.
- Be proactive and capable of identifying and implementing innovative solutions to legal and operational challenges.
- Hold a law degree, and ideally have experience as a lawyer, providing practical expertise in managing complex legal matters.
- Have perfect command of English and French, essential for effective communication with international clients and partners.
- Have specific experience in the PSF sector and in-depth knowledge of PE/RE funds, enabling you to provide precise and relevant legal advice.
