The Legal department is responsible for managing the firm’s exposure to legal risk and providing legal advice to the lines of businesses, corporate functions and the Board of Directors.
As a Leveraged Finance Lending Lawyer - Vice President within EMEA Debt Capital Markets Lending Legal Team of the Legal Department within the Corporate Investment Bank (CIB) you will focus on leveraged finance transactions. You will bring your strong analytical skills to this high profile and technically challenging role.

REQUIRED QUALIFICATIONS, CAPABILITIES, AND SKILLS

  • Licensed to practice law in England or a similar jurisdiction
  • Substantial post qualification experience in a financial institution or law firm
  • Experience with leveraged finance transactions documentation including term sheets, mandate letters, inter-creditor agreements, guarantees and security documents
  • Familiarity with Loan Market Association loan documentation and terms
  • Familiarity with sponsor precedent documentation
  • Familiarity with ancillary documentation including confidentiality agreements and legal opinions
  • Interest in transactional work
  • A team player, confident and proactive, enjoys working closely with the business
  • Exceptional organisational and communication skills
  • Excellent drafting skills with attention to detail
  • Good commercial awareness

Responsibilities:

  • Provide assistance to the business (Debt Capital Markets and Investment Banking Sales) to implement complex leveraged financing deals, identifying legal) and implementation issues relevant to a transaction, and providing general support and advice.
  • Work with the business (Debt Capital Markets and Investment Banking Sales) and external counsel to manage transactions, including the review and negotiation of syndicated facility agreements, including that based on sponsor precedent, and security documentation.
  • Work closely with external counsel to resolve complex legal issues and to ensure the smooth running of transactions.
  • Assist and advise on regulatory change and implementation affecting the businesses.
  • Liaise and advising other internal departments such as Compliance and Risk, with the ability to explain complex legal structures and legal risk issues.
