M&A FINANCE MANAGER

Location: London Victoria (hybrid model, minimum 3 days in office).
Nord Anglia Education is looking to recruit an M&A Finance Manager to join our Finance team, sat within the Group Central Support.
We are looking for someone to take charge of the coordination of all Finance-related activities relating to the organisation’s M&A processes. You will also be working closely with a variety of central and regional stakeholders to ensure effective and timely coordination of Finance involvement in the M&A process. Your role will be varied and will involve a deep understanding of the full M&A deal cycle from deal origination and pipeline management through to deal execution and post-investment integration and analysis.

THE SUCCESSFUL CANDIDATE WILL POSSESS:

  • Strong academic and intellectual background, degree level
  • Chartered accountancy qualification (Exceptions may apply)
  • Financial due diligence experience; ideally from a Big 4 accountancy firm
  • Outstanding analytical and financial modelling skills

Responsibilities:

We seek an individual to join as a M&A Finance Manager where your focus will be:

  • Coordinating Finance specialist reviews of Financial Due Diligence scopes to ensure they are in line with NAE requirements
  • Ensuring and coordinating appropriate finance specialist involvement in review of Financial Due Diligence reports
  • Working closely with Group Legal and Corporate Development to ensure any issues noted in Financial Due Diligence are addressed in SPA and risk mitigation plans
  • Maintaining a holistic view of optimised ROI to support the business case (benchmarking against NAE standards/other pipeline deals)
  • Providing independent challenges of M&A business cases based on suitable benchmarked schools within the NAE portfolio
  • Working with Financial Control to understand and challenge any working capital/locked box mechanism defined as part of deal completion
  • Supporting Corporate Finance in modelling potential funding scenarios
  • Supporting Group Treasury with funds flow documentation for Transaction completion
  • Tracking and projection of deferred and contingent consideration timing and thresholds to ensure inclusion in Group cashflow forecasts
  • Working closely with Financial Control to coordinate Opening Balance Sheet and Purchase Price Accounting exercises
  • Providing in-depth post-deal analysis of performance vs approved business case
  • Integration budget tracking and reporting including projections of transition of cost base to BAU to reflect in the company strategic 5-year model and annual budget process
