Responsibilities:
RESPONSIBILITIES INCLUDE:
- Act as a subject matter expert and advisor to JV boards and committees in the following areas:
- Legal and regulatory developments affecting the Board, directors’ duties and corporate governance
- Company administration requirements under the Corporations Act 2001
- The governing documents for each JV (for example, Shareholders’ Deed, Constitution)
- Ensure each JV complies with its statutory obligations, legal framework, Board policies and Board procedures and best practice processes
- Advise the Board and its committees on governance matters whilst working closely with the Board Chairs and CEOs and holding the Board’s objectives to account
- Ensure the necessary register and company documents, board and other relevant reports and crucial records are established and properly maintained
- Oversee the provision of high-quality secretariat support and governance advice for the Board and Committees and provide direct secretariat duties for 1-2 JVs
- Support the JV boards with risk management and corporate responsibility matters
- Provide Board and committee support
This is a full time permanent position, available to work a combination of work from home and in the Sydney or Melbourne office, with attendance onsite at JVs for relevant Board meetings as required (travel may be required).
Flexible and adaptive to change, you have a solutions-orientated mindset and will bring a high level of attention to detail, a passion for Board secretarial and governance work and a ‘can do’ attitude the role. Additionally, you have:
- 5+ years of relevant experience working in a Company Secretary or Senior Manager with governance responsibilities capacity (or similar) and extensive experience working with senior management and Boards.
- Strong knowledge of the legislative framework surrounding the legal obligations of the role and Board positions on governance matters.
- Exceptional written communication skills, including the ability to:
- synthesise content from Board meetings and translate into accurate and concise minutes and action items
- prepare well-structured and accurate artefacts such as briefing notes, agenda papers and correspondence for relevant senior audiences
- Ability to act independently and provide commercially focussed governance advice.
- Strong oral communication skills, incorporating discretion, confidentiality and tact and the ability to liaise and consult effectively with personnel at all levels within and external to the organisation
