We are looking for a Paralegal, Corporate M&A to join our Calgary office in our Business Law team.
The Paralegal, Corporate M&A, is a key team member, responsible for assisting the lawyers in their assigned practice group with routine incorporations, amendments, continuances, amalgamations, dissolutions, business name and partnership registrations, extra provincial registrations of corporations and limited partnerships, and related corporate maintenance matters.
An individual who is responsive, resourceful, and possesses a professional attitude with great client service skills, and who manages assignments and priorities to ensure deadlines are met and files are continuously and consistently moving forward, is key to this role and paramount to the firm achieving success for its clients.

Responsibilities:

Drafting and Revising

  • Perform a variety of legal and administrative duties in the area of Corporate law, assisting with corporate related matters, and will be primarily responsible for draftingdocuments relating to incorporations, organizations, share allotments, transfers, corporate changes in directors, officers and shareholders, dividends, dissolutions orrevivals as well as for the preparation, distribution and follow-up of annual maintenance corporate documentation in support of federal and provincial legal and corporate compliance requirements.

Reviewing and Document Management

  • Obtain documents from Registry/Nuans (eg certificates of good standing, society transition packages, Nuans reports, etc.)
  • Maintain and review corporate records, securities ledgers and registers, including uploading executed documents to virtual minute books.

Preparing and Assembling

  • Preparing and updating information extra-provincial registrations of corporations, business names, partnership registrations, limited partnerships and related renewals in all provinces and territories across Canada as well as updating corporate information at the public records and internal Corporate Services databases.
  • Prepare business name and partnership registrations and renewals andother similar documentation, as required.

Liaising and Communicating

  • Miscellaneous general corporate work including general enquiries in regard to corporate records and information contained in electronic minute books, etc.

Miscellaneous

  • Other maintenance tasks and filings.
