MINIMUM QUALIFICATIONS
•   8+ years corporate paralegal experience at a law firm or public company
•   Experience providing corporate secretarial support to a Board of Directors and use of with online Board portals
•   Experience with corporate entity formation and ongoing maintenance using an entity management system
•   A team player who is excited to work collaboratively within our legal team and our client groups
•   Demonstrated ability to communicate (verbally and written) with all levels of internal and external customers
•   An adept problem solver and comfortable using independent judgment and owning processes and decisions
•   Proven ability to manage multiple competing priorities within tight timeframes

South Bow’s existing oil & liquids pipeline infrastructure connects Alberta crude oil supplies to U.S. refining markets in Illinois, Oklahoma, Texas and the U.S. Gulf Coast. Responsibilities:
•   Provide support for the Corporate Secretarial team and its work with the company’s Board of Directors and Board Committees, including the preparation of resolutions/minutes/consents, record keeping and communications using our online Board portal as necessary
•   Work closely with the Board Liaison to support the meetings and administration of the Board of South Bow Corporation
•   Attend to TSX, SEDI, and NYSE listing compliance matters
•   Assist with the preparation and planning for the annual shareholder meeting and shareholder engagements
•   Maintain corporate data room
•   Support for a wide range of legal subsidiary management matters, including entity formation, corporate restructurings and general corporate maintenance, coordinating closely with your U.S. counterparts
•   Manage and oversee annual report filings for Canadian subsidiaries
•   Serve as a key contact within the Corporate Secretarial team for detailed corporate information, liaising directly with other departments (Finance, Tax, Treasury, and other resource groups), and external parties (auditors, counsel, government agencies)
•   Maintain corporate I.P. and liaise with external counsel on the same
•   Support the H.R. function and liaise with external counsel to prepare immigration paperwork (ex. vias, work permits)
•   Provide legal operations support, including vendor management, assisting with the administration of legal processes and tracking budgets
•   Perform administrative duties such as distributing documents for signature via Adobe Sign, maintaining a record of governance documentation
