We are now actively recruiting a Paralegal to join our dynamic Legal Department based at our Head Office in Toronto. In this newly created role, the successful candidate will make a significant contribution to the implementation and execution of key business priorities by providing strategic (proactive and reactive) support.
This is an on-site position.

POSITION OVERVIEW:

  • The role will primarily consist of legal-related work across a number of strategic and operational imperatives (including acquisitions, leasing, and general corporate law matters).
  • The Paralegal will work closely with the Legal Department to identify and assume responsibility for projects and processes in need of support.

KEY REQUIREMENTS/SKILLS:

  • Highly motivated and demonstrated ability to work in a fast-paced environment, meet stringent timelines, prioritize work relative to business context, handle multiple demands simultaneously while maintaining attention to detail.
  • Minimum of 3-6 years’ experience as a Paralegal is required, gained at a top law firm or corporation.
  • Background in mergers and acquisitions of private companies and leasing preferred. Ability to drive process improvements and manage projects.
  • Proven ability to work autonomously with excellent judgment and analytical skills.
  • French language proficiency is a bonus but is not a requirement.

Responsibilities:

  • Preparing transaction closing documents, authorizing resolutions, and generally facilitating the execution of transactions.
  • Conducting and summarizing corporate searches and other transaction diligence, including preparing and pursuing no interest letters or discharge undertakings.
  • Preparing leases and lease renewals, extensions, assignments and amendments, including coordinating same with landlords.
  • Working with the Legal Department or other departments on transaction-related matters, including supporting acquisition activity and overseeing post-closing integration, and assisting with the execution of transaction and corporate documents.
  • Supporting regulatory and compliance matters, including conducting research and implementing or refining processes.
  • Coordinating with external legal counsel as required, and effectively communicating advice to legal and other departments as needed.
  • Supporting corporate law matters, including share subscriptions, corporate resolutions, minute book maintenance, managing permit and registration renewals, and liaising with external agents and governmental bodies.
  • Assisting with regulatory college filings, permit renewals and conducting research on provincial regulatory requirements.
  • Developing and revising contract templates.
  • Assisting with maintaining corporate databases, including list of practices, partners and services.
  • Assisting with managing litigation matters and disputes.
  • Working within the Legal Department and with the business on a wide range of legal and business projects and process improvements.
