Description:

We are in search of a Paralegal to be part of our team. This role involves working closely with attorneys in various stages of corporate and commercial financing transactions. The successful candidate will be located in our West Chester, Pennsylvania office and will assist in the preparation of documents necessary to comply with federal, state, and local regulations in the conduct of business activities.

Responsibilities:

  • Assist in the preparation, review, and organization of real estate and related transaction documentation.
  • Draft agreements of sale, deeds, bills of sale, and assignments, leases, tenant subordinations, and estoppels, permits, licenses, easements, certificates, and other authorization documents.
  • Prepare and review loan documentation, including core documents such as notes, loan agreements, mortgages, assignments, security agreements, and UCC filings.
  • Manage the firm’s Corporate Compliance database to ensure clients’ entities are in good standing and remain in compliance with state law and their organizational documents.
  • Administer the firm’s corporate/entity records maintenance and compliance system.
  • Prepare and file formation documents for legal entities, including articles of incorporation, bylaws, certificates of organization, shareholder and operating agreements, partnership agreements, and organizational minutes.
  • Structure, organize, and monitor projects and transactions seamlessly from inception to completion.
  • Use various software and tools, including Aderant, Adobe Acrobat, Automated City Register Information System (ACRIS), CompuLaw, and Case Management Software for efficient operation.
  • Utilize strong communication skills to handle client inquiries and maintain positive client relationships.
  • Practice corporate law and corporate transactions duties as required.
  • Minimum of 3 years of experience in a Paralegal role or similar legal support role
  • Proficiency in using Aderant, Adobe Acrobat, Automated City Register Information System (ACRIS), and Case Management Software
  • Experience with CompuLaw and handling Billing Functions
  • Ability to perform Briefing, Calendar Management, and Claim Administration tasks efficiently
  • Excellent Communication skills, both written and verbal
  • Knowledge of Corporate Law, Corporate & Commercial law, and Corporate Transactions
  • Hands-on experience as a Corporate Paralegal
  • Bachelor’s degree in Law or a related field
  • Ability to maintain confidentiality and handle sensitive information
  • Strong organizational skills and attention to detail
  • Ability to work independently and as part of a team
  • Proactive and able to prioritize tasks in a fast-paced environment
  • Strong analytical and problem-solving skills
  • Ability to handle multiple projects simultaneously and meet deadlines
  • Familiarity with legal terminology and principles
  • Excellent research and report-writing skills.
