Description:
I: CORPORATE MANAGEMENT AND GOVERNANCE:
- Governance over Group Companies:
- The team is responsible to establish/revise of the group company management guidelines continuously, including but not limited to change of law, headquarters regulation change.
- Conduct regular checking with the group companies to ensure their operations and management system are conducted upon referring to the group management guidelines.
- Ensure that the group approval system is followed by the group companies and its adoption for respective material business matters (e.g., Change of directors, investment, dividend arrangement, etc.).
- Responsible for updating/managing business profile of group companies.
- Monitoring on Group Companies:
Establish/Indicate procedures for periodically checking and reporting on the group of companies’ business operations (i.e. Organization charts, headcount report etc.) and financial performance and ensuring that it is in line with approved Business Plan.Establish/ Clarify the procedures of their reports, follow up with group of companies if detected their financial and non-financial performances are deviated from Business Plan.
- Budgeting/ Financial Performance:
- Be responsible for preparing and verifying the Budget and forecast and cost allocation of each department/ division.
- Monitor financial performance. (i.e. Budget vs Actual, dedicated project cost control, and Balance Sheet etc.).
II: Legal and Compliance
- Maintenance of Internal Rules and Policies:
- The team is responsible for ensuring and confirming that all important internal rules of the Group have been prepared and adherence to group policies, regulatory requirements, industry standard and ethical practices within the region.
- Execute policies implementation, governance, and compliance activities in our company with superior include establishing disciplinary measures to prevent future compliance breaches, where appropriate.
- The notification point of policy/ rules changes at headquarters to a group companies.
- Recommend changes to processes/ procedures and alert management to potential risks that might arise
- Compliance related policies (incl. Anti-corruption, Anti-monopoly etc.)
- Delegation of Authority
- Protection of Personal Data
- Emergency Control System, Business Continuity Plan etc.
- Meeting/Committee Management:
- Ensure that all important meetings of the group companies and our company (i.e. Board of Directors Meetings, Shareholders’ Meeting, Compliance Committee etc.) are held in accordance with relevant law, act or contract.
- To ensure the minutes of such meetings are properly prepared and stored.
- Legal Management:
- Take leads on collaboration for group companies on liaising with external legal counsel and regulatory authorities as needed, to solve legal disputes.
Negotiating, drafting, reviewing contracts and other legal documents.Safeguard post-signature tracking and ensure proper filing.
Requirements:
- Bachelor’s degree in business, corporate governance or related field.
- 5 -7 years of experience in corporate role, legal & compliance governance, with proven record of supporting senior manager.
- Familiar with Company acts and other regulations which are applicable in Singapore.
- Understanding of the importance of the effective implementation of an organization’s policies and compliance principles & frameworks.
- Good interpersonal skills, tact and discretion for effective stakeholder engagement.
- Good planning, organization and follow-up skills, set priorities and meet deadlines.
- Proven ability to prepare, draft and edit documents and perform project-related assignments.
- Analytical and strategic thinking skills, an open-minded and hands-on person who easily adapts to a fast-moving multicultural environment and ability to work independently and collaboratively in a fast -paced environment.
Positive learning attitude, able to multi-task and detailed orientated.Able to meet the deadline set for reporting.
