Description:

The International and Regulatory Legal Division of State Street’s Legal Department advises each of State Street’s business units and various control functions and other groups within State Street. Primary areas of responsibility include regulatory aspects of the following:

  • Prudential matters (including capital and liquidity)
  • Corporate entity structuring and re-organization
  • Organizational structuring, including senior management accountability regimes and remuneration regulations
  • Mergers and Acquisitions
  • Board and committee governance
  • Financial crime, including AML, sanctions, anti-bribery, fraud and corruption
  • Ethics, ESG and Compliance matters
  • Privacy and information sharing
  • Regulatory licensing
  • Recovery and resolution

We are recruiting for a VP level lawyer to join as a regulatory lawyer the legal team of our subsidiary State Street Bank International GmbH (SSBI), a credit institution incorporated in Germany and qualifying as a significant entity under direct supervision by the ECB. SSBI is headquartered in Germany (registered office in Munich; majority of legal team based in Frankfurt am Main) and operates in various European countries through branches.
The role is based in SSBI’s office in Frankfurt am Main (alternatively in Munich), Germany, and will report to the SSBI Head of Legal based in Frankfurt am Main who is also a senior member of the International and Regulatory Legal team of the State Street group.
To be successful, you will develop a deep understanding of the firm’s organization, business units and operating model, service offerings, culture and vision and regulatory and supervisory landscape, in order to serve as a trusted advisor to your business and control partners and efficiently identify, diagnose and help to address complex legal issues.

Specific Duties

  • Advising senior management and other stakeholders on the impact of laws and regulations relevant to SSBI both on EU level as well as on local level in Germany (home country of SSBI) and in branch countries. This includes prudential regulatory requirements, governance related regulations, regulations in the area of outsourcing, AML, data protection, remuneration, conduct and culture.
  • Advising on German companies law and commercial law requirements applicable to SSBI and its German holding companies. This includes providing advice in relation to
  • the organizational set up and duties of the executive management board and the supervisory board (including their committees);
  • regulatory segregation of functions requirements;
  • preparation of fit & proper assessments of potential board members and key function holders of SSBI by its regulators;
  • training of board members and key function holders on governance matters
  • supporting GHR in drafting service agreements / terms of appointment for board members and with regards to documentation required under remuneration regulations
  • supporting Corporate Secretary Office with corporate housekeeping matters and KYC requests;
  • responses to RfPs as regards organizational aspects of SSBI
  • reviewing certain sections of SSBI’s Recovery Plan and its Disclosure Reports
  • Advising on M&A activities involving SSBI
  • Providing regulatory advice and support in relation to SSBI’s interactions with the ECB / BaFin and branch regulators
  • Advising on intra-group services agreements with regards to outsourcing requirements and working together with other members of the global Legal Division in this respect
  • Working with other members of SSBI Legal Team and global Legal Team to help ensure a coordinated and consistent legal approach on common themes or cross-border projects
  • Representing SSBI from a Legal perspective at industry events.

Skills, experience and qualifications

  • German law qualified lawyer
  • At least 8 years post qualification experience in a well-recognised law firm and/or in-house legal department.
  • Experience in analyzing and applying complex regulations in connection with EU financial services to business and compliance processes
  • Excellent oral and written communication skills.
  • Fluent in English
  • Strong problem-solving and technical legal analysis skills
  • Demonstrated ability to build positive working relationships with legal colleagues and senior executives, including the ability to appropriately challenge and offer an alternative point of view
  • Openness to professional challenge from colleagues and an interest in working through alternative points of view
  • Ability to communicate and interact effectively across multiple levels and functional areas within a large organization
  • Ability to provide practical guidance to assist business and corporate partners in implementing regulatory requirements
  • Strong prioritization and project planning skills
  • Willingness to learn new areas of law and proactively coordinate with legal colleagues in other jurisdictions and business areas on related areas of law or conflicts of law matters.
