Description:

A leading company in the chemicals manufacturing industry is seeking a versatile Risk and Contracts Specialist / Corporate Legal Assistant to join its small and dynamic legal team on a contract to hire basis. This hybrid role blends administrative and higher-level legal responsibilities, supporting corporate governance, contracts management, and insurance compliance. The ideal candidate will thrive in a collaborative environment, demonstrate exceptional multitasking skills, and bring a proactive approach to supporting legal and business operations.

QUALIFICATIONS:

5+ years of legal experience, ideally in-house, with relevant expertise in corporate governance, contracts, and compliance.
Background in manufacturing, biotech, chemical, or pharma industries required.
Strong organizational, analytical, and communication skills; ability to balance diverse responsibilities and manage priorities effectively.
Bachelor’s degree preferred.
Paralegal certification or notary qualification is a plus.
Proficiency in Microsoft Office Suite (Word, Excel, Outlook, Adobe PDF) and document management systems.
Resourceful, adaptable, and comfortable working independently in a small, fast-paced team.
Hybrid role, with a minimum of 10 days/month onsite in San Ramon, CA. Mandatory team days are the 1st and 3rd Wednesdays of each month.

Responsibilities:

Oversee insurance risk management, including developing and implementing the organization’s insurance program and coordinating claims with brokers and carriers.
Lead the annual policy renewal process for various insurance policies, such as commercial, employment, and environmental policies.
Analyze significant contract requirements and special terms to ensure compliance with laws, regulations, and company policies.
Prepare and review routine agreements and contract documents, including MSAs, distribution agreements, and statements of work.
Assist in managing, communicating, and enforcing the company’s Record Retention Policy.
Support corporate governance by maintaining compliance and good standing for 10-12 entities, including jurisdictional qualifications, withdrawals, and annual reporting.
Update and maintain the corporate entity management database, ensuring accuracy and compliance.
Liaise with external service providers in different jurisdictions to ensure compliance with local laws and regulations.
Provide operational support to the legal team, including scheduling, file management, and correspondence.
Partner with internal teams and external stakeholders to support business and legal initiatives.
Assist with various legal and compliance projects as a “jack of all trades” in a lean, resourceful team environment.
