Description:
What can you expect?
We are looking for a talented mid-level lawyer to work in our Funds practice, based in our London office. We would expect this role to suit a lawyer with between four and six years’ post-qualification experience.
The team services a wide range of clients including investment managers, family offices and institutional investors setting up or investing in closed -ended funds, including private equity, venture capital, infrastructure and credit funds as well as open-ended funds such as hedge funds. We also advise on club deals, ‘funds of one’, seeding deals for managers, carry schemes and investor disputes.
Responsibilities
- Drafting and negotiating fund formation documents, working with local counsel as appropriate, including limited partnership agreements, PPMs, subscription documents, side letters, carry schemes, LLP agreements.
- Running fund formations and investor negotiations, working with the existing team.
- Giving fund related regulatory advice including ‘perimeter guidance’, financial promotion and AIFMD matters, working with the regulatory team as appropriate.
- Supervising and training junior associates.
- Contributing towards the business development strategy of the team.
Experience and Knowledge
- Must have experience of:
- drafting and negotiating core fund documents, including limited partnership agreements and side letters;
- running closed-ended fund formation transactions (ideally including private equity funds); in each case from a well-reputed City or international firm.
- Good legal understanding of funds and relevant financial regulation.
- Experience of liaising directly with clients and counterparties.
- A keen interest in funds and asset management.
- An interest in business development.
- Good legal skills including attention to detail in drafting and a genuine interest in the needs of the client.
- Strong academics essential.
- An ability to think laterally and problems solve.
- Excellent communication and inter-personal skills and the ability to inspire confidence in senior client personnel.
- The ability to work as part of a team and independently.
