JERA Nex is seeking a highly skilled and experienced senior compliance lawyer to join our growing team as Senior Compliance Officer. Reporting into the General Counsel based in London, this is a standalone role which requires knowledge of regulatory frameworks, exceptional ethical judgement and the ability to influence and inspire a culture of compliance across all geographies and parts of the JERA Nex Group.

JOB DESCRIPTION

You will be part of a dynamic team based in both London (United Kingdom) and Leuven (Belgium) involved in strategic international renewable energy projects. Working with the General Counsel, the legal team and various parts of the business, you will deliver, manage, and maintain the compliance strategy for the JERA Nex Group to obtain organisation-wide assurance of adherence to Group standards. You will provide support to ensure that the Group companies comply with the increasingly demanding legislative frameworks and actively mitigate the risks we face in different markets.

The responsibilities of the SCO include, but are not limited to:

  • Provide legal advice on compliance related matters in most European countries.
  • Risk assessment and support for mitigation: facilitate assessments of compliance risks and support for design of mitigation steps in the various business areas.
  • Integrity due diligence reviews: conduct integrity due diligence reviews of potential partners for different business areas.
  • Training and communication activities: deliver business ethics, competition and antibribery and corruption training in all JERA Nex Group jurisdictions and contributing to communication initiatives on such topics.
  • Support for M&A and investment projects: provide analytical and advisory support on M&A and investment projects arising in these jurisdictions.
  • Practical advice: provide practical support and advice on compliance to new projects and initiatives in the business areas, as required.
  • Fosters development and implementation of practical solutions (together with business) to guarantee compliant business success in respective regions.
  • Ensures advice/guidelines get communicated in “language” of business.
  • Secures continuous knowledge transfer into JERA Nex Group entities.
  • Drives business communication activities to promote compliance and integrity in all applicable regions.
  • Represent the Company towards governmental officials, regulators, NGOs etc. regarding compliance matters.
  • Communicating and influencing business culture and behaviours to be compliance-aware, this includes the ownership of and embedding the JERA Nex Group Code of Conduct, other topic specific policies and third-party risk management, using a risk-based approach to identify, prioritise, and implement effective global solutions.
  • Designing an appropriate compliance policy framework, providing tools and procedures to enable the business to adhere to them in a day-to-day context.
  • Alongside setting strategy and frameworks, the role is required to support the commercial business on day-to-day ethics & compliance queries and issues.
  • Supporting incident response and crisis management on compliance issues across the Group, including leading on the JERA Nex Group’s whistleblowing scheme.
  • Avoid and resolve litigation, complaints, disputes, and other claims.
  • Support global business integrations.
  • Provide support to regulatory reporting for commercial matters.
  • Support development and execution of comprehensive legal strategies and solutions to lawfully facilitate JERA Nex’ and its affiliates’ commercial objectives while mitigating any associated compliance risks.

The role will also interface regularly with the Legal and the Corporate Secretarial teams. Travel to the project sites and regional offices in Europe, UAE, Australia, South-East Asia and North America, as necessary.

The successful candidate will be an experienced compliance lawyer who possesses both the strategic mindset and technical skills to succeed in a dynamic and visible role.

  • Degree in law or other appropriate legal qualifications (e.g. GDL, LPC qualifications in the UK), in a key common law or civil law jurisdiction.
  • Circa 15+ years of post-qualification experience.
  • A track record as a compliance lawyer with a reputable firm as well as experience working for/advising an international company
