Role/ Department:
The Company Secretarial function sits within the Legal department at Northern Trust.
Reporting into the EMEA Head of Company Secretarial for Northern Trust companies based in London, the role is to assist in the provision of core company secretarial services to a number of management committees and in-house companies (including regulated subsidiaries) and their respective boards and committees.
The person fulfilling this role will be required to demonstrate a strong ability to carry out all core company secretarial functions to the highest standards, with a key emphasis on minute taking.

Key responsibilities of the role include:

  • Acting as the primary point of contact for boards and committees of certain regulated entities in EMEA, on all governance matters;
  • Supporting Chairs in the effective and efficient running of boards and committee meetings;
  • Managing annual board and committee performance reviews;
  • Managing and building relationships with board and committee stakeholders, including independent directors and external parties;
  • Preparing and delivering minutes and action items to deadlines;
  • Assisting in governance project work as necessary; and
  • Reviewing and enhancing departmental processes.

The successful candidate will benefit from having:

  • Qualified Governance Professional/Company Secretary is preferred
  • Board support experience, preferably with Independent Non-Executives
  • Ability to make clear presentations to Boards and Committees
  • Strong minute taking skills
  • Effective organisational skills
  • Experience of financial services and regulation
  • Familiarity with Diligent Boards & Entries is an advantage
