BASIC QUALIFICATIONS:
- Juris Doctor (JD) degree from an accredited law school; admitted to practice law in Canada and/or the U.S.
- 5 - 7 years of legal experience; prior experience dealing with Hyperscale and Colocation Data Center operators a plus
- Strong understanding of corporate law, commercial transactions, intellectual property, and regulatory compliance.
- Proven track record in managing complex legal matters, including mergers and acquisitions, corporate governance, and litigation.
SKILLS:
- Excellent communication, negotiation, and interpersonal skills, with the ability to influence and collaborate effectively at all levels of the organization.
- Strategic thinker with the ability to provide practical and business-oriented legal advice.
- Demonstrated ability to work independently, manage multiple projects simultaneously, and thrive in a fast-paced environment.
- Strong contract management knowledge
Responsibilities:
ROLE:
As the Senior Corporate Counsel, you will be a key executive responsible for overseeing all legal matters pertaining to our operations, strategic initiatives, and corporate governance. Reporting directly to the CEO and collaborating closely with senior management and external stakeholders, you will play a pivotal role in shaping our legal strategy, ensuring compliance with regulations, and safeguarding our business interests.
RESPONSIBILITIES:
- Draft and review a wide range of contracts, including commercial agreements, licensing agreements, and vendor contracts.
- Oversee and negotiate complex transactions, strategic partnerships, and financing agreements.
- Manage the company’s intellectual property portfolio, including trademarks, patents, and copyrights and coordinate with outside counsel on strategies to leverage our intellectual property.
- Manage and oversee litigation matters, working closely with external counsel as necessary.
- Implement strategies to mitigate legal risks and resolve disputes efficiently and effectively.
- Provide expert legal advice on corporate governance, compliance, risk management, and contractual matters.
- Monitor changes in relevant laws and regulations to ensure ongoing compliance across all business functions.
- Implement policies and procedures to enhance risk management across the organization.
- Collaborate effectively with cross-functional teams to support business objectives while managing legal risks.
