JOB SUMMARY AND QUALIFICATIONS

HCA Healthcare, Inc. is seeking a Senior Corporate Counsel to serve as a key member of the Office of the Corporate Secretary and play a critical role in supporting the HCA Healthcare, Inc. Board of Directors and management team.

Responsibilities Include:

  • Providing counsel on corporate governance matters, including:

    • Researching, preparing and implementing corporate governance and related policies.
  • Advising on new and emerging issues and practices, including applicable securities regulations, listing standards, governance trends and industry practices.
  • Providing legal guidance and training to members of management and business partners.
  • Assisting the Corporate Secretary and other members of the management team in support of the Board of Directors, including:


    • Preparing for Board and Committee meetings.

    • Advising on director duties and responsibilities and disclosure matters.
    • Collaborating with internal teams and external advisors to provide effective guidance and support to the Board and its directors.
    • Supporting the Board of Directors and management team in sustaining positive and productive relationships with investors and other stakeholders, including:


      • Preparing for and participating in meetings with shareholders and other engagement activities.

      • Communicating with and advising the Board and management team regarding shareholder engagement activities.
      • Responding to shareholder inquiries and proposals and assisting with annual and special shareholder meetings.
      • Advising on Environmental, Social and Governance (ESG) matters, including:


        • Collaborating with HCA’s internal teams and external advisors on ESG activities and initiatives.

        • Preparing and reviewing ESG-related disclosures and communications.
        • Staying abreast of ESG-related legal, regulatory and industry developments.
        • Providing guidance to the Board of Directors and management team on ESG practices and disclosures.
        • Collaborating with other members of the HCA Healthcare legal team and various other internal teams, as well as outside counsel and advisors, on disclosure matters for HCA Healthcare’s Securities and Exchange Commission (SEC) filings, press releases, presentation materials, public reports and other external and internal communications.

        Qualifications/Education:

        • 10+ years of relevant law firm and/or in-house counsel experience
        • Juris Doctorate from ABA accredited law school
        • License to practice law (active and in good standing)
