As a leader in our industry, we now have over 22 GW of utility-scale energy storage and hybrid renewable energy projects in development and 33 projects in operation or construction across North America. Our Structured Finance team oversees over $2 billion of existing financings, which is growing $1-2 billion per annum.
We are seeking a highly skilled project finance attorney with extensive experience in renewable energy debt and tax equity financing. The Senior Counsel will play a crucial role in supporting a variety of utility-scale energy storage and solar-plus-storage project financings, as well as providing corporate financing and tax structuring support during a period of rapid company growth. The ideal candidate will have a proven track record in financing renewable and/or energy storage projects.

KEY QUALIFICATIONS:

  • JD from an accredited law school;
  • Active bar licensure in at least one US jurisdiction;
  • 5+ years of post-qualification experience, with demonstrated experience in project financing in the renewable energy or energy storage industry;
  • Expertise in project/portfolio and corporate financing matters, including debt, tax equity and ITC/PTC adders;
  • Strong knowledge of renewable energy project development and related contracting standards;
  • Strong computer skills, including Word, Excel, and PowerPoint proficiency;
  • Excellent organizational and planning skills with meticulous attention to detail;
  • Exceptional written and verbal communication skills;
  • Strong interpersonal and diplomatic skills;
  • Highest standards of ethics and integrity.

Responsibilities:

  • Perform and oversee complex legal services for the financing of development, acquisition, construction and operation of utility-scale energy storage and hybrid renewable projects;
  • Serve as legal lead on finance matters and directly assist other departments as needed;
  • Assist the finance team in all major areas of executing project and corporate financings; including assessing financing structures, drafting and reviewing agreements and ancillary documents, tracking and overseeing closing processes, and ensuring that transactions comply with corporate policies and precedent standards;
  • Negotiate and aid in drafting key provisions in financing documents, particularly provisions requiring legal input and expertise as well as application of judgement and market knowledge;
  • Enhance internal transaction processes and contract templates for efficiency and compliance;
  • Ensure that project execution and offtake contracts contain financeable legal and commercial terms;
  • Support the tracking of corporate guarantees across the organization;
  • Provide legal support for cross-functional teams as needed;
  • Oversee and manage external counsel on finance matters;
  • Identify and succinctly communicate material risks and proposed solutions to Aypa’s General Counsel and other executives and team leads;
  • Ensure transactions are being planned and executed efficiently and assist in driving deal closings;
  • Other duties as assigned.
