ABOUT YOU:

Tribute Technology is seeking a pragmatic, proactive, and intellectually curious Senior Counsel to provide broad-based legal support across a range of commercial and corporate matters in a fast-paced, technology-driven environment. As Senior Counsel, you will assist the company’s Director of Legal with managing all legal affairs of the company, including contract review and negotiation, dispute resolution, corporate governance, employment matters, and more. You will play a key role in day-to-day legal operations, regulatory compliance matters and company strategic initiatives, including acquisitions.

QUALIFICATIONS AND EXPERIENCE:

  • Juris Doctorate (JD) degree from an ABA-accredited law school.
  • Admission to the bar in at least one U.S. state.
  • Minimum 3-5 years of relevant corporate transactional law experience.
  • Experience in contract negotiation and management. Experience drafting and negotiating SaaS and other technology agreements is a plus.
  • Strong analytical skills with the ability to research, analyze, and report on various issues, policies and procedures, and to recommend enhancements as necessary.
  • Excellent written and verbal communication skills.
  • Pragmatic and self-motivated team player who has a flexible and proactive mindset. Someone with a proven ability to work both collaboratively and autonomously, who thrives in fast-paced, dynamic environments, and is comfortable with change, ambiguity, and risk.
  • Strong organizational and time management skills, with the ability to manage multiple deadlines and make decisive risk-based decisions, often urgently and independently.

Responsibilities:

  • Review, negotiate, and draft commercial contracts, including SaaS and other technology agreements, with company vendors and customers.
  • Collaborate with HR and Finance departments on employment-related matters, such as employee disputes, terminations, employment contracts and incentive compensation.
  • Assist with monitoring changes in domestic and international laws applicable to company operations.
  • Assist in due diligence of potential acquisitions and subsequent integration matters.
  • Manage corporate governance matters, including assistance with periodic corporate filings, insurance policy renewals, and claims reporting.
  • Oversee and manage external legal resources with respect to specialty legal subject matter and litigation if/as needed.
  • Assist company leaders with dispute resolution matters, including managing litigation and resolving vendor or customer contractual disputes.
  • Manage company contracts and corporate records.
  • Provide broad-based, day-to-day legal support to business leaders utilizing both existing templates and customized approaches.
