This role will support the business M&A agenda with the delivery of all end-to-end related activities for the People Workstream and this in relation to Acquisitions, Integrations and Divestments. Valid for all businesses across the Centrica Group and all geographies.
The role covers the entire M&A lifecycle from beginning to end (i.e. including post-merger integration for acquisitions).
The role supports New Country Entries by delivering all end-to-end activities allowing the business to have a physical people presence in the new geography and advises on/or solve periphery international problems in the context of M&A or New Market Entries.

Within this role you will engage with all relevant stakeholders across the Business, M&A Deal Team, all Support functions, 3rd party advisors (e.g. law firms) and this to ensure a successful delivery of the above-mentioned projects.

ACCOUNTABILITIES

Acquisitions:

  • Provide due diligence assessments for new acquisitions and identify key related risks and propose risk mitigation solutions or engage relevant stakeholders to determine this as required
  • Deliver appropriate documentation for acquisitions including diligence and risk summaries. Participate in Q&A interaction with bidders
  • Support with early integration considerations, be this a reverse-carve out or legal and regulatory reasons that must be considered
  • Develop post-merger integration requirements for all integrations working with key stakeholders across the Business
  • Support/Own problem solving on all complex project challenges: likely HR TSA constructs, carve outs, agency workers, compliance challenges, …
  • Complete/Support with relevant project deal governance activities

Divestments:

  • Support with go to market preparations (e.g., input into Information Memorandum)
  • Complete data room population for all new divestments and identify likely challenges / pre-empt future bidder’s questions where possible
  • Support with all aspects of a divestment lifecycle from determining the in-scope population to carve out & Op Model considerations, TSA challenges and other people-related challenges
  • Support with relevant project deal governance activities

New Market Entries:

  • Support with any new country entry set up activities working with the Business and all other Functions to ensure entity set ups, registrations with relevant authorities, T&Cs offers, agreement templates and payroll etc,… are in place
  • Identify Risk & Issues (e.g., Corporate Tax implications, Labour law landscape…)

WORK EXPERIENCE AND TECHNICAL SKILLS

  • Ability to translate complex problems into digestible deliverables
  • Able to understand detail, alongside complexity, and still deliver against strategic aims
  • Ability to join the dots and understand dependencies between issues
  • Strong commercial acumen and an eye for tactical considerations
  • Excellent stakeholder engagement skills at all levels
  • Operational knowledge across People function (e.g. Compensation & Benefits) and ability & desire to grasp key aspects of other functions
  • Degree or equivalent through relevant experience
