Wilson Sonsini has an immediate opening for an experienced and highly motivated Senior Paralegal to work in our Office of General Counsel. You will be an integral member of the team who will provide support on a wide variety of legal matters and cross-functional processes.
This position requires at least three days per week in the firm’s Palo Alto office. Full-time is preferred, but part-time candidates will be considered.
THE JOB REQUIREMENTS ARE:
- Bachelor’s Degree or ABA-approved Paralegal Certificate
- At least five years of corporate paralegal experience at a law firm or in-house legal department
- Exceptional organizational skills and attention to detail
- Strong written and oral communication skills
- Willingness to learn and handle a wide array of tasks
- Solid foundation in MS Office Suite, including MS Excel
- Self-starter, with a strong bias to action, who can intuitively prioritize and advance multiple projects
- Experience with document review, document production and file transfers (preferred)
The primary location for this job posting is in Palo Alto. The actual base pay offered will depend upon a variety of factors, including but not limited to the selected candidate’s qualifications, years of relevant experience, level of education, professional certifications and licenses, and work location. The anticipated pay range for this position is as follows: $56.31 – $76.19 per hour.
The compensation for this position may include overtime and a discretionary year-end merit bonus based on performance. We offer a highly competitive salary and benefits package.

Responsibilities:
- Assist with various corporate legal matters, including entity formation and preparing and filing annual reports, board minutes, board consents and other corporate governance materials for the firm and subsidiaries
- Calendar and track various compliance obligations, including annual filings and policy reviews
- Assist in preparing and updating various templates, including contracts, engagement letters and conflict waivers
- Assist in reviewing and negotiating contracts, engagement letters and conflict waivers
- Prepare responses to questionnaires relating to third party risk management
- Maintain and update clause bank to support negotiation of various agreements
- Assist in drafting, review and enforcement of various policies
- Organize records and maintain files
- Provide project management support as needed
