Main Purpose
The main purpose of this role is to strategically support PIMCO’s investment and asset management teams by driving high-impact transactions, structuring innovative equity investments, and optimizing our diverse portfolio. This position offers a unique opportunity to play a pivotal role in shaping the future of our investments and contributing to the overall growth and stability of PIMCO. By collaborating with cross-functional teams and leveraging your legal expertise, you will help us navigate complex legal landscapes and achieve exceptional outcomes for our clients.
Key Areas of Responsibility

Deal Execution Support:

  • Drive Transactions: Partner with our dynamic investment and asset management teams to spearhead transactions from inception to successful exit. Your role will be pivotal in overseeing diligence of investment opportunities, negotiating key legal aspects of documentation in line with commercial drivers and regulatory requirements, and advising on eventual exit strategies
  • Strategic Structuring: Lead the structuring and documentation of new equity investments across multiple jurisdictions, with a keen focus on the lucrative European and UK markets
  • Portfolio Optimization: Collaborate closely with the asset management team to review amendments and proactively address issues in our existing portfolio, ensuring maximum returns
  • Expert Negotiation: Take charge of negotiating and documenting modifications and restructurings, working hand-in-hand with the deal team to secure the best outcomes
  • Equity Focus: Specialize in equity investments, whether direct or through joint ventures and co-invest structures, while also gaining exposure to debt-like documentation in CRE mezzanine debt or preferred equity deals
  • Dispute Resolution: Oversee disputes and litigation matters with a strategic approach to safeguard our interests
  • Cross-Functional Coordination: Seamlessly coordinate with tax, finance, compliance, and operations teams to ensure smooth deal execution
  • External Counsel Management: Efficiently manage and oversee external transaction counsel to maintain high standards and cost-effectiveness

Internal Support:

  • Regulatory Mastery: Navigate and manage regulatory issues associated with investments in the sector by private and public funds, ensuring compliance and strategic advantage
  • Investor Communication: Collaborate with product teams to provide critical deal information for investor communications, enhancing transparency and trust
  • Corporate Projects: Support a variety of general corporate and regulatory projects, contributing to the overall growth and stability of the organization
  • Policy Development: Develop and manage internal precedent banks, and assist in creating and implementing relevant internal policies and procedures
  • Legal Excellence: Provide comprehensive legal support to ensure the smooth functioning and efficiency of the legal team and client servicing

Position Requirements

  • Minimum of 8 years’ relevant post qualification experience at a leading international law firm and/or in-house experience with a global bank or asset manager, focusing on commercial real estate private equity transactions in the UK and Europe (including asset/ corporate acquisitions, joint ventures, co-invest structures with experience in development preferable)
  • Significant Deal Experience: Demonstrated ability to organize, prioritize and deliver against tight deadlines on multiple transactions
  • Regulatory and Compliance Knowledge: Familiarity with sector-relevant regulatory and conflicts of interest issues faced by investment managers with public and private funds and accounts
  • Commercial Acumen: Strong business sense and understanding of market dynamics
  • Attention to Detail: Exceptional precision in legal documentation and processes
  • Integrity: High degree of personal and professional integrity
