POSITION OVERVIEW

As a Senior Commercial Technology lawyer, you will provide the Acturis Group (including its North American and European entities in Canada, the US, Denmark and France) with specialist commercial and technology related legal advice covering commercial contracts and IT/IP/data issues, Data Protection (including good understanding of GDPR) and general legal advice on legal matters which affect Acturis on a daily basis.
Your day to day will focus on managing particular sectors/subsidiaries within the group, working with CEOs of those Group entities to advise on legal matters and help shape commercial decisions.
This is a full time, permanent position based in our Hatton Garden office with 3 days of hybrid working.

Responsibilities:

Proactively supporting all business areas within Acturis, shared with a primary focus and responsibility for advising a subset of Group subsidiaries based in a particular region (with potential for additional group entities/territories), including by way of the following;

  • Developing in-depth knowledge of business and relationships with senior stakeholders so as to advise on the legal implications (risk/mitigation) of all aspects of a rapidly expanding international business (e.g. in relation to enhancements to system offerings, AI and expansion into new territories)
  • Negotiating, drafting, reviewing and advising on a broad range of commercial technology contracts including;
  • SaaS Agreements
  • Software Development, License and Maintenance Agreements
  • Integration/Interface/Data Transfer Agreements
  • Commercial terms and other legal documents received from customers and suppliers
  • Advising on Data Protection issues (in particular in relation to the implementation of the GDPR, and international expansion) and general IP elements of service offerings
  • Proactively following legal developments, updating the business, and planning, advising and implementing legal processes and improvements to support and protect a growing international business
  • Drafting new template documents for new service offerings and drafting/updating policies for regulatory developments
  • Working proactively, commercially and pragmatically in partnership with client areas to build a relationship of trust and confidence, to understand business and customer needs
  • Working in a high pressure, fast-paced environment with a high volume of work requiring good matter management, prioritisation and communication skills.
  • Providing contract/legal development training to business
  • Reporting to, and supporting, Group General Counsel
  • Managing/providing mentorship to junior members of the Legal team.
