CONTEXT:

The Sr Commercial Legal Counsel will spend significant time on all forms of commercial contracts for enterprise and public sector customers in the Americas. We are looking for a pragmatic senior attorney with significant experience in SaaS (Cloud) transactions to join our growing legal team and support our Americas business. This is an individual contributor role reporting to our Sr. Director\Associate General Counsel. This is a hybrid position working 3 days per week in our office (Redwood City, CA or any other Ivalua office location).

SKILLS AND EXPERIENCE

  • At least 5+ years of drafting and negotiating complex enterprise transactions with significant experience in enterprise SaaS and public sector deals.

  • Work collaboratively and develop positive relationships with business stakeholders to strengthen the connection between the legal team and the business - with a sense of humor and resiliency, under tight deadlines, and while managing multiple priorities.
  • Business-oriented and creative problem solver; excellent business judgment and ability to assess legal risk while also thinking strategically and providing sound, practical advice under tight deadlines and when presented novel scenarios
  • Strong written and verbal communication skills.
  • Self-motivated, nimble and able to learn quickly, strong work ethic.
  • Energized by working in a fast-paced and dynamic team environment.
  • Juris Doctor or equivalent and membership in good standing with a U.S. state bar.

Responsibilities:

ROLE:

Ivalua is currently looking for a Sr Commercial Counsel who will draft, negotiate, and/or review commercial agreements such as SaaS subscription agreements, professional services agreements and SOWs, partner/reseller/referral agreements, data privacy/data security agreements, requests for proposals (RFPs), and vendor agreements. The ideal candidate will possess the proven ability and mindset to take complex tech transactions from start to finish.

WHAT YOU WILL DO WITH US:

  • Partner with Sales and Alliances to help close customer and partner deals.
  • Work closely with internal clients across the company to provide legal support, proactively identify issues, share potential concerns, and craft solutions in supporting the commercialization of our industry-leading products and services.
  • Help to build and maintain scalable frameworks and processes (such as assist improving and implementing use of templates, “playbooks,” and policies).
  • Provide legal support for the company’s privacy, data, and security initiatives as they relate to technology and commercial agreements.
  • Counsel internal clients with respect to contract compliance and governance matters, serve as a resource to Ivalua’s customer success, customer support, finance and other organizations with respect to ongoing contract related matters.
