Description:

The Paralegal / Legal Governance Specialist will be responsible for corporate and administrative functions including entity formation, corporate governance, preparation of filings for government agencies, documentation for annual meetings and contract review. The Legal Governance Specialist will be responsible for oversight and guidance on corporate governance matters, KYC inquiries, vendor management and integration for all business units across the company.

BASIC AND PREFERRED QUALIFICATIONS (EDUCATION AND EXPERIENCE)

  • 8+ years of corporate paralegal experience
  • Advanced knowledge of corporate governance
  • BA/BS degree or equivalent
  • Superior MS Office proficiency - Word, Excel and PowerPoint
  • Paralegal certification from an ABA-approved program (preferred)
  • Experience with Visio

  • Candidate must have a minimum of 7 years of experience in the legal sector, specifically as a Paralegal.
  • The applicant should hold a comprehensive understanding of Entity Formation, Corporate Governance, and Corporate Paralegal practices.
  • Proficiency in legal research and documentation is vital.
  • The ability to manage multiple projects and meet deadlines is required.
  • Strong written and verbal communication skills are necessary.
  • The potential employee should be able to operate effectively in a fast-paced, dynamic environment.
  • Proficiency in the use of legal software and other related technologies is mandatory.
  • The candidate should demonstrate a strong ability to maintain confidentiality and handle sensitive information with discretion.
  • Excellent problem-solving skills, attention to detail, and organizational skills are essential.
  • The individual must have a proven track record of working effectively with both internal teams and external clients.
  • A demonstrated commitment to maintaining high ethical standards and adhering to professional conduct rules is required.

Responsibilities:

  • Preparation of corporate governance documents and board materials, including written consents and organizational documents
  • Oversight of entity management, including minute books and resolutions, preparation and filing of required state filings, and tracking and management of filing costs
  • Registration of new assumed business unit names
  • Oversight of secretary of state reports and renewals
  • Management of the formation, dissolution, and maintenance of entities and responsibility for compliance with state specific organizational document requirements
  • Collaboration with tax and treasury personnel and first level of response to questions and requests from key stakeholders across the company
  • Participation in due diligence and integration planning of acquired companies
  • Management of collateral documents for credit facilities
  • Responses to KYC requests and other requests for information
  • Proactive identification of areas of improvement within the company and implementation of best practice processes, policies, and protocols
  • Maintenance of Intellectual Property folders and internet-based legal entity management database and management of IP counsel with regard to all trademarks
  • Contract review, including NDAs and vendor agreements
