Today we are seeking a Vice President Corporate Counsel to join our team to provide expert legal advice and support across all facets of our real estate activities, including investment, asset acquisition, property development, construction, property management, and corporate governance. This role requires a proactive legal real estate professional who can navigate complex legal issues and drive initiatives that support the company’s short and long term goals. The ideal candidate will have a strong background in real estate law, with experience in the Canadian market, and will be adept at managing legal risks and ensuring regulatory compliance.
In addition to the duties typically expected of a seasoned legal prime, the successful incumbent will also:
- Legal Advisory: Provide expert legal advice on real estate acquisitions, developments, leasing, and property management matters.
- Transaction Support: Draft, review, and negotiate purchase agreements, joint venture agreements, limited partnership agreements, lease agreements, and other transactional documents.
- Management of External Counsel: Manage relationships with external legal counsel and vendors, ensuring that the organization has the support it needs and that services are delivered effectively and within budget.
- Regulatory Compliance: Ensure compliance with local, provincial, and federal regulations affecting real estate transactions and property management.
- Risk Management: Identify legal risks associated with acquisitions, developments, and operations, and develop strategies to mitigate these risks.
- Litigation Management: Oversee any legal disputes or litigation involving the company, working closely with external counsel as necessary.
- Policy Development: Develop and implement legal policies and procedures to enhance operational efficiency and compliance.
- Stakeholder Collaboration: Collaborate with internal and external stakeholders, including executives, project managers, and property managers, to provide legal support and guidance.
- Training and Education: Be the in-house champion on all things legal, provide briefings for executive team on relevant legal updates, industry best practices and compliance requirements.
QUALIFICATIONS:
- Juris Doctor (JD) degree from an accredited law school and admission to the bar in Canada.
- Minimum of 10 years of experience in real estate law, with a focus on acquisitions, development, and property management.
- Strong understanding of Canadian real estate regulations, zoning laws, and property management practices.
- Proven track record of successfully negotiating complex transactions and resolving legal issues.
- Experience in managing external legal counsel and vendors to ensure quality service delivery.
- Excellent communication, negotiation, and interpersonal skills.
- Ability to work independently and manage multiple projects simultaneously in a fast-paced environment.
- Strong analytical and problem-solving skills, with attention to detail.
