Description:
THE OPPORTUNITY:
Due to mandate and transaction volume growth, we are seeking a Vice President – Legal, Private Equity to provide commercial and strategic legal advice to QIC Private Equity (QPE). Based in our Brisbane office, and collaborating with our wider legal function, you will play a pivotal role in supporting our investments primarily in the Asia Pacific region, as well as assisting our teams in the United States and Europe.
Working directly within the QPE team, this is an amazing opportunity to immerse yourself with the commercial aspects of our business while contributing to the development of QPE’s legal function.
Responsibilities:
- Lead the negotiation, structuring, and execution of a variety of investments and transactions.
- Draft and negotiate a wide range of legal documents, including trust deeds, investment management agreements, limited partnership agreements, subscription agreements, shareholder agreements, and side letters.
- Structure and negotiate client mandate documents for new QPE mandates and client onboarding.
- Develop and manage relationships with external legal counsel.
- Act as a strategic advisor within the QPE team, providing insights into the legal and commercial implications of proposed actions.
- Monitor and respond to relevant legal and regulatory developments.
- Collaborate with QPE and other internal teams, including legal, tax, compliance, finance, operations, risk, and ESG teams.
- Embed a strong risk culture within QPE, identifying and managing conflicts of interest.
- Present and coordinate training sessions on legal topics relevant to QPE’s operations and investments.Build out the legal function within QPE, including developing and maintaining operating policies, precedents, and knowledge management resources
