The M&A and Transaction Advisory Services (TAS) team provides a broad range of advisory services to clients, primarily in a deals environment, including financial due diligence (FDD), tax due diligence, valuations, and M&A lead advisory.
As a member of the FDD team you will be providing financial due diligence on both buy-side and sell-side transactions across a variety of industries.

POSITION SUMMARY:

Our M&A and Transactions Advisory delivery model includes the entire transaction life-cycle enabling engagement opportunities throughout the lifetime of a deal. It includes originating and providing corporate finance advice as a lead financial advisor on M&A transactions, providing valuations services on a range of transactional matters, due diligence advice to help our clients identify risks associated with deals and offer solutions that can help to mitigate such risks, act as an independent financial adviser on IPOs as well as on a range of other corporate transactions including, financial modelling, fundraising and debt advisory/restructuring.

EXPERIENCE AND QUALIFICATIONS:

• Bachelor’s degree in Engineering, Business, Finance, Economics or other relevant degrees, a Master’s degree is a plus.
• 1 - 3+ years of relevant transactional services/financial due diligence experience in a consulting practice.
• Strong current knowledge and solid experience in the following: accounting, audit and transaction advisory services (due diligence experience essential)
• Working knowledge of completion mechanisms including completion accounts, locked box and a general understanding of SPAs would be helpful
• Demonstrates a proven thorough level of abilities and success, as both an individual contributor and team member, with identifying and addressing client needs: actively participating in client discussions and meetings communicating a broad range of the firm’s services; and, managing engagements, including preparing concise, accurate documents and maintaining project economics while maintaining flexibility for unanticipated issues
• Excellent communicator in English (written and spoken), Arabic speaking is advantageous.
• Strong time management skills and ability to meet deadlines in a fast-paced environment.
• Strong analytical skills and commercial awareness

• Analyse financial and non-financial/operational results of target companies using accounting information and interviews with managements
• Identifying and understanding key drivers of a business and potential deal breakers (financial and non-financial)
• Identify diligence issues which may affect purchase price, deal structure or deal termination
• Recommend post-acquisition actions to achieve anticipated earnings/cash flow improvements
• Evaluate effects of seasonality and cyclicality on cash flow requirements
• Prepare and evaluate pro forma financial information
• Writing and/or reviewing financial due diligence (buy-side, sell-side or refinancing) reports for our clients including family offices, private equity, corporates and banks
