About the role
As the Assistant Company Secretary, you will be responsible for ensuring that our Board and Board Committees operate efficiently, effectively and in line with our corporate governance and risk frameworks.

Responsibilities:

Partnering with the Chief Legal & Risk Officer & Company Secretary to deliver all company secretariat functions in accordance with legal requirements.
Driving the delivery of the Board calendar.
Overseeing Director and designated senior management appointments and resignations.
Keeping up to date with any legal, regulatory, or other changes that may impact VMCH’s approach to corporate governance.
Your background
Tertiary qualification in law, governance, business, or related field.
Membership of the Governance Institute of Australia or equivalent.
Extensive experience in a company secretarial function within a regulated industry/sector, ideally in a not-for-profit context.

You have outstanding communication and interpersonal skills with the capacity to work in consultation and collaboration with Board members and senior stakeholders.
Highly organised and proactive, you are able to maintain focus and motivation for critical compliance and administrative tasks.
You have excellent writing and analytical/numerical skills, including a demonstrated ability to think critically, interpret and present insights from data, and provide proactive solutions.
Your attention to detail is second to none and you have a continuous improvement mindset.
