Join us as Assistant Corporate Secretary
Should you be successful in your application you will be responsible for assisting the Luxembourg Lead of CSLA in maintaining the legal and organizational structure of the clients’ funds in the UCITS and Alternative Investment Funds segments. You will be responsible for helping to ensure that the clients’ funds satisfy their organizational documents and any applicable corporate governance laws, rules and regulations.

Some of your key responsibilities include:

  • Assist Luxembourg Lead of CSLA to manage the local CSLA team through regular one on one meetings, goal setting, performance reviews, and promotions. Set standards for department best practices. Address any employee relationship issues.
  • Oversee the Board support and regulatory support work prepared by the legal support representatives, including reviewing memorandum and resolutions for board meetings, attend Board Meetings (when necessary) and review draft minutes. Review Annual General Meeting materials, or other shareholder meetings materials, attend meeting (when necessary) and review draft minutes. Review all regulatory filings prepared by the legal support representatives.
  • Track regulatory changes that will impact BBH clients and the CSLA services that we provide. Assess the team’s ability to address the regulatory change and raise to the Luxembourg Lead of CSLA. Actively participate in the NBRG or New Service Review process.
  • Coordinate all internal audit reviews, compliance monitoring assessments and any external regulatory examination of CSLA services. Oversee the annual review of department Policies and Procedures, in order to validate their effectiveness.
  • Represent the CSLA group in applicable special projects.

Qualifications:

  • Law degree preferred
  • 10 years corporate/fund secretarial experience required
  • Strong Written Communication Skills
  • Exceptional customer service
  • Demonstrate a risk based approach to problem solving
  • Detail-oriented
  • Proficient in English
