Description:

SUMMARY:

As a young, fast growing cell analysis solutions provider, we are looking to grow our in-house legal department. The Assistant General Counsel will work as a trusted partner in close collaboration with internal stakeholders and external partners to effectively provide a broad range of legal services. The role will support the company’s legal activities relating to, among others, sales, marketing, business/corporate development, human resources, intellectual property, international subsidiaries, corporate governance and global compliance matters. The role will report to and work closely with the Chief Legal Officer. As the third member of the Legal Department, there is tremendous opportunity for professional growth and to positively impact development of the legal department.

REQUIREMENTS & QUALIFICATIONS:

The requirements listed below are representative of the knowledge, skill, and/or ability required.

  • Strong background in drafting and negotiating a wide variety of corporate and commercial contracts with the ability to understand and analyze legal contractual terms, accurately identify and assess the risks in a business arrangement, make decisions with respect to contract provisions that are aligned with the company’s risk tolerance and contracting standards, and offer a practical, business-minded approach to contract negotiation.
  • Experience with most of the following:
  • U.S. public company matters, including with respect to SEC reporting, securities laws and corporate governance.
  • International operations and related matters, such as employment matters, global sales and distribution contracts, data privacy, antibribery laws and compliance.
  • Management of patents and trademarks.
  • Sales, collaboration, supply, distribution, licensing and other corporate and commercial contracts.
  • M&A transactions.
  • Global employee training on corporate policies and equity plans.
  • Demonstrated ability to work in a fast-paced environment and the ability to adjust to shifting deadlines and priorities.
  • Strong attention to detail, organization and efficiency.
  • Excellent written, verbal and interpersonal skills.
  • Sound judgment and critical thinking skills.

INDUSTRY EXPERIENCE:

  • J.D. from a U.S. accredited law school, admitted and in good standing to practice in California
  • 5-7+ years of professional experience - in both a major law firm and as in-house counsel at a biotechnology company a plus

Responsibilities:

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Proactively and effectively partner with stakeholders across the enterprise to build trusted advisor relationships.
  • Exercise excellent legal judgment to provide pragmatic risk-based counsel.
  • Comfortable with taking ownership of projects and making decisions to move projects forward but with reasonable judgment to know when to seek help/guidance.
  • Draft, review and negotiate contracts and documents in collaboration with various functional areas such as sales, marketing, operations, research and development, business/corporate development, finance and human resources.
  • Assist on legal matters associated with international operations, including distribution/sales, global data privacy, HR and compliance matters.
  • Oversee IP portfolio (with support from external counsel, as needed) and assist with review of marketing collateral.
  • Provide legal support for business/corporate development activities and transactions.
  • Assist with corporate governance, SEC reporting, securities, compliance and regulatory matters, as needed.
  • Manage special projects and Legal Department initiatives, from time to time.
  • Contribute to efficient management of the Legal department.
