Responsibilities:

We’re currently seeking an experienced, highly motivated lawyer to join us as Associate General Counsel. You will take the lead in managing our corporate governance matters and overseeing Grouper’s intellectual property and technology transactions. Additionally, you’ll play a key role in handling all commercial transactions and other legal matters.

Responsibilities:

  • Crafting corporate governance documents: Prepare materials such as board minutes, resolutions, and presentations.
  • Drafting, assessing, and negotiating agreements: Handle various commercial contracts, including NDAs, software licences, SaaS subscription agreements, service contracts, employment agreements, and consulting contracts.
  • Evaluating products and initiatives: Assess the legal risks associated with products, features, platforms, and initiatives, and develop effective risk management strategies.
  • Providing legal advice: Offer guidance to product, engineering, and other teams, identifying and protecting patentable products, services, and technologies.
  • Maintaining legal records: Keep a repository of legal documents updated, including contracts, templates, and corporate governance materials.
  • Managing intellectual property: Oversee owned and licensed intellectual property, collaborating with external legal counsel on trademark and patent applications, and other IP matters.
  • Supporting compliance and litigation: Assist with company compliance efforts and handle litigation matters as needed.
  • Engaging with external counsel: Communicate and collaborate with external legal counsel on legal matters when necessary.
  • Staying informed: Stay up-to-date with relevant legal principles, practices, and trends.
  • Anticipating challenges: Proactively identify potential challenges and develop innovative solutions to support our business strategy.

What We’re Looking For: Check out what you will be upto in this role:

  • Irish qualified solicitor: Hold accreditation as an Irish qualified solicitor with 2 years of post-qualification legal experience.
  • Commercial Transactions Expertise: Demonstrate experience in drafting, reviewing, and negotiating technology and other commercial transactions, including software licensing and SaaS/PaaS agreements.
  • Intellectual Property Protection: Possess experience in intellectual property protection, encompassing patents, trademarks, copyright, and trade secrets.
  • Writing and Editing Skills: Exhibit strong writing and editing abilities.
  • Start-up Enthusiasm: Display a desire to work in a start-up environment and a passion for being part of a growing company.
  • Communication and Interpersonal Skills: Possess strong communication and interpersonal skills.
  • Results-Driven: Demonstrate the ability to drive results, provide solutions, and prioritize multiple projects independently.

  • IAPP/ACOI Data Protection Qualification: Hold a recognised data protection qualification from IAPP or ACOI.
