JOB DESCRIPTION

As legal counsel to BIG, the Associate, Investments will be responsible for providing general legal advice in relation to BIG’s transactional, corporate and asset management activities. This mandate will include functioning as corporate counsel to Brookfield’s private infrastructure funds, including its flagship $30 billion private investment fund, Brookfield Infrastructure Fund V.
BIG is actively seeking to continue to grow its infrastructure portfolio worldwide. From BIG’s Canadian headquarters in Toronto, the Associate, Investments will work closely with BIG’s global investments team, which currently spans North and South America, Europe and Asia Pacific. This role is ideally suited to a proven outstanding performer who is self-motivated and seeks to join a collaborative and dynamic and growing asset management company with opportunities to work in a variety of regions globally.

Responsibilities:

  • Providing legal advice on a wide range of legal and business issues relating to the activities of BIG and its portfolio companies, particularly within North America
  • Supporting BIG in connection with its acquisition and divestiture activities, including the preparation of transaction documents, management of legal due diligence, development of investment structures and facilitation of fundraising activities (including the formation of investment consortia and co-investment arrangements)
  • Assisting with corporate financings, inter-company reorganizations and executive projects
  • Preparing and reviewing agreements, instruments and other documentation, including early-stage transaction documentation (such as confidentiality agreements, memoranda of understanding and related term sheets), shareholder and other governance agreements, credit agreements and other legal documents, and working with the transaction teams to operationalize the same
  • Assisting in developing and implementing legal policies, processes, and standards, including risk management strategies, corporate policies and compliance programs

Requirements

  • A minimum of three to five years of legal experience practicing in a top tier international law firm, with a focus on executing complex private equity transactions, preferably with exposure to public mergers and acquisitions, shareholder and governance agreements, and general corporate and securities matters
  • Doctor of Jurisprudence Degree from a top tier law school, with a demonstrated high-level of academic achievement, and membership in good standing with a state/provincial bar
  • Experience with transactions within one or more infrastructure sectors would be considered an asset, but is not a prerequisite
  • Comprehensive knowledge of U.S. legal framework; some demonstrated experience with international legal systems would be considered an asset, but is not a prerequisite
  • Demonstrated ability to provide practical, business-oriented legal advice and recommendations
  • Strong communication skills; ability to present clear and practical legal arguments
  • Ability to work in a dynamic, fast-paced, global environment and to adapt quickly to changing priorities
  • Highly self-motivated and proactive; strong work ethic; eager to take ownership over work product and able to advance work independently
  • Team-oriented; demonstrates a commitment to shared success with a willingness to wear multiple hats
  • Excellent interpersonal skills and ability to develop collaborative relationships at all levels in the organization
  • Strong analytical and problem-solving skills combined with attention to detail and thoroughness
  • Excellent organizational skills and capability to effectively manage priorities while meeting timelines

This position is based in Toronto, Ontario and will require travel, from time to time, dependent upon project/transaction dynamics.
