Description:
ABOUT THE POSITION
The Associate, Legal & Contract Management will support the Senior Manager – Contracts and Commercial, the Senior Associate – Legal in the Australian legal team and the Vena Energy legal team across the APAC region. The role will support the SMCC by being responsible for managing and ensuing compliance with VEA key contracts (by using and maintaining obligations trackers), receiving, considering and issuing contract notices, participating in and note-taking for contractor and counterparty meetings (including construction steering committees), obtaining lenders consents and approvals and assisting to resolve contractor claims and disputes. The role will also support the Senior Associate – Legal and the Vena Energy’s APAC legal team with general ‘flow work’ and a broad range of other transactions and projects.

Bachelor of Laws

2-3 years law firm in commercial practice

Responsibilities:
- Receive, consider and advise on key contract notices for VEA
- Draft and issue key contract notices for VEA
- Prepare and maintain material obligations trackers for key VEA contracts and use these tools to monitor and ensure that the business complies with its contractual commitments
- Prepare requests for approval from lenders under financing documents and track responses from lenders
- Attend contractor and counterparty meetings with SMCC to minute conversations and actions arising from meetings
- Assist the Senior Associate – Legal with daily flow work, NDAs, TOBs, MOUs, purchase orders, services agreements, term sheets, ITTs and board resolutions (financial closings)
- Assist the Senior Associate – Legal and GM Legal & Commercial with more complex legal matters, including drafting legal advice (for review); reviewing and amending complex commercial agreements and contributing to the resolution of complex legal disputes including deeds of settlement.
- Assist Vena Energy’s Regional Legal Team from time to time, including daily flow work, regional initiatives, EPC contract negotiation and contract management in Vena Energy’s operating jurisdictions, transactional work, contract templates, and any other work as requested
- Assist the Legal Team with local compliance matters from time to time
