Responsibilities:
The key responsibilities of this role are:
- Providing procedural advice and services to Board and Board Committees’ Chairs in relation to duties and responsibilities, relevant legislation and regulations to ensure the effective and legally compliant functioning of the Institute
- Responsible for the effective arrangements of Garvan’s Board and Committee meetings and processes in line with sound governance practice, including development of meeting calendars, issuing proper notice of meetings, preparation and circulation of agendas, attendance at meetings, drafting of papers and producing minutes to record business transacted and decisions
- Providing advice and strategic leadership to the Boards and Committees in accordance with sound corporate governance and good governance practices, including drafting and advising on relevant policies and procedures
- Co-ordinating required regulatory corporate reporting and registration
- Facilitating induction and ongoing development of Board members to support them in the discharge of their role and responsibilities
- Ensuring safe custody of the official record of Board business and maintaining a record of outstanding business
- Assist the CFO and COO in maintaining official corporate records of the Institute, including the enterprise risk register.
