We have a rare opportunity for an experienced Company Secretary to lead our high performing Company Secretarial team on a permanent basis. With a busy program of work and the opportunity to shape and influence changes to Queensland Rail’s current practices and frameworks, this role would suit someone who has built a reputation as a trusted adviser and has established a career within a large organisation or government owned corporation.

Responsibilities:

ABOUT THIS ROLE

Reporting to the General Counsel you will lead and manage corporate compliance activities concerning company Board meetings and dealings with shareholders, ensuring all business matters and transactions are managed and implemented as directed by the Board and in accordance with all relevant laws, regulations, and corporate governance requirements.
In this hands-on role at an enterprise-wide level, you will build relationships with Queensland Rail’s Directors, CEO and Executive Leadership Team, providing assistance and guidance on the preparation of all reports and submissions for the Board and relevant Board Sub-Committees.
Reporting to you is a professional team of 3 giving you the opportunity to utilise your leadership skills to drive a high performing Company Secretarial function.

In addition, you will:

  • Ensure Queensland Rail’s ongoing compliance with the Queensland Rail Transit Authority Act, Corporations Act and all other relevant legislative requirements and regulations.
  • Provide corporate governance input into preparation of the Operational and Strategic Plan, Audited Financial Statements and Annual Report.
  • Provide expert advice on corporate governance matters to the Chair, Board and wider organisation, including the development of corporate governance policies, charters and the Queensland Rail delegation’s framework.

The Company Secretary plays a crucial role in ensuring the smooth functioning of Queensland Rail’s corporate governance processes and acts as a key advisor to the CEO, the Executive Leadership Team, and the Board on matters of corporate governance, legal compliance, and company law. This role represents a chance to immerse yourself in a diverse range of matters that will shape the future of Queensland’s transportation infrastructure.

To be considered for this role you must also demonstrate:

  • Tertiary qualifications in law, finance or commerce.
  • Membership to the Governance Institute of Australia.
  • Strong skills in managing corporate governance compliance issues within a complex service organisation.
  • High level of experience in preparing minutes, agendas, notices and associated correspondence for Board and Board Sub-Committee meetings.
  • Knowledge of the legal system and government owned corporation guidelines as it affects business or be able to demonstrate how you would develop such knowledge.
  • Ability to influence change in an organisation
