REQUIRED EDUCATION & EXPERIENCE

  • 2+ years experience in corporate legal operations or law firm.
  • Business law, paralegal, legal secretary or compliance certification, such as Certified Regulatory Compliance Specialist (CRCS), desired.
  • Associate or Bachelor’s degree in paralegal studies, business law or other compliance studies preferred.

Responsibilities:

JOB PURPOSE SUMMARY

The Compliance Specialist develops a strong understanding of Ciranda’s core business in order to provide administrative legal and compliance support organizationally. The Compliance Specialist will create business efficiencies by closely collaborating with cross-functional stakeholders to improve and organize operational processes.

RESPONSIBILITIES

  • Collaborate with internal stakeholders, such as Sales or Supplier Development, to write and review agreements that embrace the nature of the stakeholder relationship without introducing unnecessary risk or limiting the scope of negotiations, consulting internal legal procedure or external legal counsel to establish terms of such agreements.
  • Review and modify miscellaneous vendor contracts, non-disclosure agreements and other binding documents, ensuring compliance with corporate policy and procedure, consulting with cross-functional experts and external legal counsel as necessary to establish terms of such agreements.
  • Review agreement change requests and defaults and advise internal teams on risks and Ciranda liability as it relates to agreed upon terms.
  • Manage and regularly review assigned organizational policy and procedure, such as Business Continuity Planning, and similar, ensuring regular review and compliant execution.
  • Maintain an organizational database of contracts, and other critical documents, tracking milestones and renewals and supporting cross-functional teams with related obligations.
  • Facilitate operational efficiencies through the creation and maintenance of a library of legal document templates and forms.
  • Support the business with risk management by liaising with brokers and insurance providers, managing the insurance renewal process, ensuring sufficient coverage and managing the claims process when necessary. Manage corporate insurance policies and certificates, facilitating the procurement and renewal of such policies.
  • Assist in the completion of assigned compliance, certification or regulatory questionnaires, coordinating with certifying or regulatory bodies and supporting leadership in preparing for audits and inspections related to such.
  • Coordinate external legal resources monitoring spend and forecasting project expenses. Assist counsel in gathering documentation, evidence and other information related to litigation, complaints or other dispute resolution matters.
  • Assist in training initiatives, developing materials, facilitating schedules and potentially instructing to ensure employee education in legal, regulatory and compliance matters relevant to functional roles and responsibilities.
  • Support due diligence efforts in mergers, acquisitions, or other corporate transactions involving the company and other project work as assigned.
  • Research emerging legislation and regulatory action in the USA and Canada which may affect Ciranda and our business partners.
