Role/ Department:
Managing the board relationship aspect for a portfolio of Guernsey and non-Guernsey, listed and unlisted entities with the minimum of supervision in a professional, effective, and high quality manner.

The key responsibilities of the role include:

  • Manage the board servicing aspect for a small portfolio of Guernsey and non-Guernsey, listed and unlisted, entities with a certain level of supervision.
  • Build relationships with the Boards and clients to ensure all board servicing aspects of the NT service offering are managed effectively and efficiently
  • Assist client Boards collectively and individually, where the need arises, on corporate governance issues enabling the practicality of the relevant corporate governance framework to be implemented effectively and efficiently
  • Maintain the corporate calendars
  • Assist client Boards with their corporate governance and listing obligations, including announcements, terms of reference, corporate governance checklists, risk matrix etc.
  • Take responsibility for the organisation and preparation of agendas, board papers and meeting arrangements for all board and committee meetings, with a certain level of supervision
  • Attend and take responsibility for the preparation of minutes for all board and committee meetings
  • Circulation of action points to appropriate internal and external parties for completion
  • Arrange execution of entity documentation
  • Liaise with external Directors and Chairpersons
  • Liaise with internal Relationship Managers and Client Service Delivery Managers
  • Liaise with external regulators and advisers, such as lawyers and auditor

Skills/ Qualifications:

The successful candidate will benefit from having:

  • A sound knowledge of the offshore fund industry particularly with regard to the statutory and regulatory requirements for Guernsey based collective investment schemes and associated vehicles
  • An understanding of the key corporate governance Codes (AIC, UK and Guernsey)
  • Effective communication (written and verbal) with a good command of the English language
  • Organised with strong time management skills, accuracy and attention to detail
  • Computer literate, particularly with Microsoft Office programs
