Description:
Offit Kurman, a full-service AmLaw 200 firm is seeking a highly experienced Corporate and M&A Attorney to join our Philadelphia office. The successful candidate will play a key role in our Corporate and M&A practice, handling sophisticated corporate transactions such as reorganizations, restructures, financing, acquisitions, and corporate governance. We do require a minimum of 10 years of experience handling Corporate and M&A matters along with travel to the office several times a week.
Responsibilities:
- Manage and oversee complex corporate transactions, mergers, and acquisitions.
- Provide legal advice and support on a broad range of corporate matters.
- Draft and review legal documents, contracts, and agreements.
- Conduct due diligence for transactions.
- Review and draft corporate documents, including LLCs, buy-sell agreements, operating agreements, entity formations, partnership agreements, promissory notes, and employee stock plans.
