Description:
POSITION SUMMARY:
The Corporate Counsel will be a key member of the EMEA Legal function. This role provides cross-regional internal legal support on a broad range of matters. Its primary focus is on the DACH region (comprising Germany, Austria and Switzerland). The role may support other EMEA regions as needed.
The main focus will be on general commercial contracts work. This includes counseling on a wide range of commercial contracts, working with distributors, compliance and regulatory issues (in particular compliance with the Medtech Europe Code), and day to day legal support of the multiple businesses within DACH. Provision of ad-hoc advice on other legal matters (e.g. data privacy and competition law) will also be encouraged from time to time. The successful candidate should be eager to participate as an active member in our practical process improvement and automated contract solution strategy.
The role will report to the Regional Sr. Corporate Counsel & Sr. Director DACH. It will work with other lawyers in the EMEA Legal team as well. Further, it will work with Division Counsel across all Thermo Fisher businesses, to provide high quality and comprehensive legal advice and assistance on EMEA matters. The role will also work closely with other functions across EMEA, including Finance, Procurement, Compliance, IP, Quality and Regulatory.
The role may be based in Bulgaria (Sofia), Italy (Milan) or in UK (Inchinnan). Remote location will be considered.
EXPERIENCE AND SKILLS:
- Proficient in spoken and written German and English (additional European language(s) an advantage).
- Law degree obtained in the DACH Region from an internationally recognised University / Law School.
- Strong Post Qualification Experience, representing life science, fast moving consumer goods and / or other multinational companies. Bar admission as a lawyer in one country of the region.
- Proficient legal drafting skills. Ability to provide pragmatic, astute advice on contractual risk under a variety of commercial contracts .
- Strong experience in contracts and contract negotiation / drafting.
- Outstanding commercial business knowledge, including the skill to fully engage with and influence business stakeholders.
- Ability to develop practical processes / approaches. Skill to drive solutions to completion.
- Strong ‘Can Do Mentality’ and high self-motivation required. Ability to deal with an ever developing, complex matrix organization. Excellent communication and negotiating skills. Resilient and hard-working self-starter. Excellent standout colleague.
- The ability to recognise when to seek counsel of EMEA Regional Corporate Counsel or Division Counsel and other company personnel is essential.
Responsibilities:
- Draft or review and provide a risk assessment of various complex agreements for all parts of the organisation in support of their objectives. This includes sales agreements, strategic supply agreements, collaboration agreements, IT agreements, co-marketing agreements, term sheets, etc.
- Support and lead negotiations with customers on key agreements.
- Take care of various marketing inquiries, in particular, if they relate to MedTech Europe compliance.
- Work in close collaboration with and actively support Corporate Compliance and Global Trade Compliance Teams on various compliance related matters in the region.
- Take an active role in the Team’s process improvement and automated legal solution strategy by participating and/or leading certain relevant Team projects.
- Educate and train employees on their obligations under the terms of various contracts and under applicable legal requirements.
