Job Description
Overview
The Corporate Governance and Legal Operations Assistant supports the Legal and Governance team in creating, implementing, and managing optimized operational processes, systems and tools to support Xplor in meeting its legal and regulatory requirements and obligations.
The Corporate Governance and Legal Operations Assistant has a significant role to play in the development, monitoring and review of systems, processes, and tools to enable Xplor to observe relevant legal and compliance considerations (including in particular in respect of company secretarial filings in relevant jurisdictions) and in the monitoring and reviewing of relevant controls and processes.

Key Responsibilities

  • Company Secretarial and Governance - ensure group global entities comply with legal, regulatory, filing, record keeping and reporting requirements; manage the conduct of statutory meetings and the production of minutes and written resolutions; implement and maintain good corporate governance practices in line with policies and procedures and regulatory and country requirements; and manage the incorporation and dissolution of Xplor’s group entities as needed.
  • Legal and Governance departmental administration – managing administrative matters, such as record-keeping, coordinating signatures in accordance with Xplor’s framework of delegated authorities, monitoring the Legal and Governance team’s shared mailboxes, as needed, on behalf of the Legal and Governance team, and supporting departmental reporting.
  • Project and process management - manage projects to support the strategic objectives of the Legal and Governance team; and identify opportunities to improve relevant processes and operationalize the same, where appropriate, across Xplor’s business in respect of legal and compliance issues.
  • External relationships – manage external law firm and company secretarial relationships as required, including in respect of invoicing, billing and compliance with Xplor’s policies and billing guidelines; liaising as needed with other departments to ensure costs are applied towards the appropriate budgets.
  • Document management - manage the documentary records of the Legal and Governance team; and coordinate the collation and management of sets of documents required for specific purposes (e.g. data rooms, responses to queries, reporting, etc.).

QUALIFICATIONS

  • 2-3 years’ relevant experience as a corporate paralegal and/or corporate secretarial assistant with an international remit.
  • Strong verbal and written communication skills.
  • Looking to gain a wide range of company secretarial experience in a busy and dynamic global function
  • Ability to work collaboratively and proactively in working with stakeholders of diverse backgrounds and skillsets.
  • Effective at prioritizing competing interests and responsibilities, but always acting with diplomacy
  • Able to work well under pressure, meet deadlines and adopt a pragmatic approach
  • Able to manage a distinct set of responsibilities autonomously
  • High proficiency with Microsoft Office and other relevant software tools
  • Ability to ‘issue spot’ and identify opportunities for process improvement; and a desire to implement best practices for Xplor.
  • Strong alignment with Xplor’s culture and values.
  • Comfortable in changing corporate environments.
