Description:
SUMMARY
We are looking for a Corporate Paralegal to work closely in a transaction support, governance, and compliance capacity, as required. You will perform a wide variety of tasks as assigned by the executives and senior leadership of the business, namely, the CEO. You will be working in person out of the Toronto office, with daily check-ins with your supervisor.

Your role will include:
Transaction support
- Drafting and reviewing contracts, agreements, governance, and other legal documents, as required
- Organizing and maintaining contract files, tracking contract deadlines, and following up with internal and external stakeholders on file progress
- Managing the closing process, including coordinating the actions of our clients, lenders, and other parties involved in the transaction
- Facilitating the execution of documents as outlined above
Governance and compliance
- Drafting and maintaining corporate records
- Ensuring corporate compliance with relevant laws and regulations
- Coordinating Practico’s Board of Directors meetings and fulfilling other directors’ requests; preparing Board and Board committee materials
- Drafting meeting agendas, preparing and reviewing meeting materials, taking meeting minutes, and facilitating the completion of outlined action points within the applicable deadlines as set out in meetings
- Drafting and reviewing resolutions, termination notices, legal letters, and other ancillary documents
Other
- Managing the CEO’s calendar
- Other ad hoc duties as required
REQUIRED SKILLS OR EXPERIENCE
Candidates seeking to apply for the Corporate Paralegal position must satisfy the following requirements:
- Legal assistant certification from a recognized institution, or one to three years of relevant training or experience, or a combination of both
- Experience in a dynamic and growth-oriented environment is a plus
- Working knowledge of Microsoft Office, the Google Suite, Microsoft Teams, and Zoom
- Exceptional verbal and written communication skills
- Strong interpersonal and relationship building skills
- Excellent organizational and scheduling skills
- Ability to maintain confidential and sensitive information.
- Strong attention to detail
- Proactivity and a strong sense of urgency
- Professional, positive attitude, and great team player
