What You’ll Be Doing
The Counsel, Securities (ESG & Corporate Governance) will provide legal advice and support in a dynamic role that includes advice on a broad range of legal and regulatory matters that impact CIBC and its subsidiaries, including corporate and securities laws (such as global securities offerings and continuous disclosure obligations) complex environmental, social and governance (ESG) matters, emerging regulatory issues such as cybersecurity, and corporate governance matters.
As a member of the ESG & Corporate Governance team, you will be providing thought leadership, supporting and collaborating with our legal, compliance, risk, business and functional partners across the enterprise on all aspects of ESG and emerging regulatory matters, including governance, strategy, risk management, metrics, stakeholder engagement and the evolving global regulatory landscape. You will also be asked to assist and provide corporate and securities law advice with respect to CIBC’s global securities offerings, prospectus renewals, continuous disclosure obligations and new capital management initiatives.
You will closely monitor and advise our business and functional partners on legal and emerging regulatory trends and developments, interact with regulators, and address expectations of our institution investors and other stakeholders. You will also provide legal oversight in the drafting of CIBC’s Management Proxy Circular and advise CIBC’s Corporate Secretary Division on the preparation and organization of CIBC’s annual meeting.

How You’ll Succeed

  • Legal Advice – Providing business-focused legal advice in a dynamic role that includes advice on corporate and securities laws and a broad range of complex ESG, emerging regulatory and corporate governance matters of increasing strategic and reputational significance for CIBC and its subsidiaries.
  • Strategic Regulatory Analysis and Advocacy – Developing a point of view to deliver judgment-based, strategic regulatory interpretation advice as well as forming positions on emerging issues and trends on various aspects of ESG and emerging regulatory matters, including development of products and services in various business lines, marketing and communications, disclosure, development of CIBC position statements and policies. You will also monitor legal and emerging regulatory trends and developments in corporate governance, periodically report to CIBC’s Corporate Governance Committee on such developments and participate in CIBC’s responses to global regulatory initiatives and proposed legislation.
  • Comprehensive Disclosure Review – Reviewing and advising on global securities offerings and continuous disclosure obligations, CIBC’s Management Proxy Circular, annual ESG disclosure documents including the Sustainability Report, Climate Report, Methodology, ESG Data Tables, and Diversity & Inclusion reporting, and other disclosure documents as may be developed from time to time.
  • Judgment & Collaboration – You’ll utilize strong independent judgment, broad-based legal knowledge, and a high level of professionalism in working with teams across CIBC, including our executive and senior leadership. You’ll create and foster partnerships and relationships across CIBC by facilitating open communication, and by anticipating client, business and shareholder needs. When required, you’ll oversee and manage the relationship with outside counsel as well.

Who You Are

  • You’re a certified professional. The successful candidate must have been called to the Bar in Ontario. You have at least 2+ years of securities and corporate law experience at an external firm, in-house or at a regulatory body. Canadian banking law and ESG-related experience, including assessing legal issues and risks, disclosure, and emerging regulatory trends and developments would be a significant asset
