Description:

Assist the Company Secretary in establishing effective arrangements for the induction of Directors and Non-Executive Directors and provide advice and support regarding discharge of their duties. Maintain annual work plans of relevant Board and Committees and coordinate annual reviews of Terms of Reference. Plan and prepare agendas for the meetings, request supporting papers for meetings, and ensure timely submission. Provide advice and support on the production of formal reports for Board and Board Committees where applicable.
Preparation of minutes of meetings, reports and briefing papers to a high professional standard and in accordance with relevant timescales. Produce and maintain the Trusts Corporate Calendar for Board, Council of Governors, and Committee meetings. Assist the Company Secretary with preparation of the Trusts Annual Report & Accounts. Assist the Company Secretary with preparation for the Annual Members Meeting.
To be responsible for the development, maintenance and review of the Trusts governance manual and updating related policies and corporate documents in response to any regulatory changes. Support the induction process for members of the Council of Governors, provide governors with advice and support and the provision of administrative resources to facilitate effective working of the Council of Governors. Support the provision of administrative resources to facilitate the effective management of the Trusts membership database. Support plans for the election processes for public and staff representatives of the Council of Governors, in conjunction with the Company Secretary.
Provision of an efficient and effective liaison service to governors in matters relating to corporate governance, offering a problem-solving approach to any issues raised. Management of corporate governance-related information, guidance and advice on the governor section of the Trust web site. Brief the Company Secretary on all material matters relating to the Council and/or individual Governors which might impact on the effective and efficient administration of the governance structure. Maintain secure, confidential records in relation to all appointments of governors
