MINIMUM QUALIFICATIONS
- Bachelor&rsquos degree in relevant
- Minimum 10 years of relevant experience, including at least 5 years in an M&A transaction environment (e.g. Corporate Development, Investment Banking or Private Equity).
- Strong financial experience with demonstrated examples of building financial models from scratch (noting that you will not be required to build financial models in this role but will need to be an expert in reviewing and manipulating financial analysis).
- Detailed understanding of corporate finance concepts and evaluation metrics (including DCF, transaction multiples, credit metrics etc).
- Ability to lead a team.
- Enthusiastic attitude for getting into the details.
Responsibilities:
PRIMARY PURPOSE OF POSITION
As the Director of Corporate Development, you will play a critical role in shaping the future of our company. Working closely with the Senior Vice President of Corporate Development and Strategic Projects, you will help evaluate and execute corporate mergers, asset acquisitions, and divestitures. Your responsibilities will include identifying potential targets, overseeing financial deal case development and financial modeling, developing internal approval materials, and coordinating all supporting resources, processes, and deal advisors. You will lead a team of Corporate Development Managers and interact with internal subject matter experts, investment banks and counterparties to negotiate and execute transactions to drive value for the company.
PRIMARY DUTIES AND ACCOUNTABILITIES
- Research and evaluate appropriate Corporate, Business Unit M&A, and Divestiture candidates to fit the Corporate Strategy.
- Manage the multi-functional team processes for transaction execution, including evaluation and due.
- Supervise a team of Managers and financial analysts to build financial models and other relevant analytics for merger, acquisition, divestiture, and generation development.
- Oversee the preparation of transaction materials for the Board and senior.
- Help manage the multi-functional team and processes for divestitures, including transaction evaluation, offering memo preparation, data room development, and bid evaluation and
- Provide support for post-acquisition/merger.
- Perform or support other ad-hoc development-related projects or analyses.
