JOB DESCRIPTION:

  • Monitoring the capital market developments, in particular the prevailing capital market regulations;
  • Advising the Board of Directors and the Board of Commissioners of their respective legal obligation to comply with capital market regulations;
  • Assisting the Board of Directors and the Board of Commissioners, as well as committees under the Board of Commissioners in implementing GCG best practices of the Company based on the national and international standards;
  • Acting as a liaison officer between the Company and the stock exchange, the capital market authority and other stakeholders;
  • Leading the Sustainability Report drafting process;
  • Leading the ESG task force in monitoring the implementation of ESG Roadmap or workplan prepared by the ESG task force;
  • Maintaining the confidentiality of all companys documents, data and information, except when such documents, data and information are required to be disclosed pursuant to the laws and regulation or otherwise determined in the laws and regulations
  • Managing and working with other departments, including but not limited to Investor Relation, Corporate Finance, Corporate Communication, Business Process Compliance and Talent Departments for the purpose of organizing Annual Public Expose, release of quarterly/annual financial statement, enrollment of black out period, produce/review required internal policies, as applicable;
  • Liaising with independent consultant or other third parties engaged by the Company;
  • Support the Companys Legal, Tax, Finance and other departments with year-end Internal Controls data and requirements;
  • Ensuring disclosure of up-to-date information on governance related matters in the Companys website;
  • Together with Communication and Investor Relation Departments, ensuring the proper disclosure of any material information related to the Company to the public; and
  • Undertaking all corporate legal matters, such as consultancy, draft and/or review to power of attorney, review of agreements with third parties, and review to the Articles of Association and charters of the boards and committees,
  • For the purpose of ensuring the Companys full compliance with the prevailing laws and regulations as well as the Companys internal rules and allowing the Company to deliver best practices of good corporate governance in accordance with national and international standards.

REQUIREMENTS:

  • Educational background requirement: Bachelors Degree in Law or Communication;
  • Minimum 4-5 years of experience in Corporate Secretary and Governance; and
  • Minimum of 1-2 years of exposure and experience in ESG, specifically Sustainability Report drafting.
  • Strong interpersonal and communication skills, networking, critical and integrative thinking abilities, mediation and conflict resolution abilities, proven ability of influencing beyond authority;
  • Accessible, resourceful, can communicate and advise leaders in a professional and respectful manner;
  • Maintains all lines of communication with internal clients and colleagues, even in challenging situations;
  • Provides open, honest and thorough governance guidance even when it is unpopular;
  • Acts with a high degree of maturity, courage and respect for hierarchy and organizational routines; addresses legacy issues to avoid recurrence: conducts analysis, validates and documents everything for future potential reference;
  • Digs deep for the answers to ensure guidance to leaders and colleagues is sound and proven (documented) must be persistent but diplomatically so; and
  • Models the right behaviors, does what is right even in the face of pressure.
