IN-HOUSE COUNSEL

  • Accountability for Legal Services: Accountable for the provision of legal services to CWB Group with a goal of ensuring that CWB Group’s business is carried out in compliance with Canadian and cross-border ethical standards, existing laws and regulations and in a manner which minimizes the likelihood of adverse publicity. Develop processes for the delivery of legal services that provide for the quick and efficient response to requests for legal advice and services.
  • Oversight of External Counsel: When necessary, the In-House Counsel will retain external counsel that provides the best blend of quality, cost effectiveness and timeliness. The In-House Counsel/Corporate Secretary is accountable for providing oversight of external legal services to ensure that CWB Group’s objectives are met, and that external legal fees and expenses are reasonable and appropriate. This includes establishing a policy for the retention, management and evaluation of outside counsel.
  • Oversight of Litigation: Provide oversight of disputes, claims or lawsuits by or against CWB Group in a manner that is both economical and consistent with the best business and ethical interests of CWB Group.
  • Regulatory Compliance: Proactive identification and guidance to the CWB Group, CWB Group boards and executive regarding relevant regulatory and legal developments in areas of significant company-wide impact. Development of or input to relevant compliance policies, programs or processes as required.
  • Legal Services Department Management: Establish and manage annual legal budget (both internal and external). Regularly seeking input from the Board, the [Executive Leadership Team] and operating unit management as to the quality, timeliness and responsiveness of both internal and external legal services.
  • Risk Management: Accountable for identifying and advising CWB Group of significant emerging legal and compliance risks, and proactively identifying potential risk mitigation tactics in collaboration with the Risk Officer and relevant operational staff. Participates in CWB Group enterprise risk management initiatives as required. Part of the role also involves drafting, updating, administration and execution of training against corporate policies involving regulatory and legal matters. [These include policies on: Conflict of Interest, Standards of Business Conduct, Compliance, Lobbying, Contract Preparation, Fraud Investigation, Intellectual Property, and Litigation/Legal Support].

ADDITIONAL REQUIREMENTS

  • This is a Remote-First, primarily home-based position, with occasional mandatory travel for collaboration, to attend regional meetings and other duties as required.

THE FOLLOWING QUALIFICATIONS ARE CONSIDERED ASSETS:

  • Bilingual (English and French)
  • Experience with the professional services industry
  • Experience with not-for-profit and charitable foundation governance

Responsibilities:

  • Represent the CWB Group as requested by the President.
  • Other duties as designated by the President.
    This position reports to the CEO/ President and will be a dynamic position that will provide legal expertise in a wide range of business lines within CWB Group and EWI. You will be working remotely from your home office with possible occasional travel to project locations across Canada. CWB has adopted a remote-first working model, where employees will work from their home office, servicing the client within their specified areas either remotely or in person. We are embracing radical flexibility, where employees are encouraged to work a schedule that works best for them, their team, and their clients.
