Essential Job Functions
A two-year position supporting paralegals and attorneys in the Private Equity / Mergers & Acquisitions Group. This position is an opportunity for individuals interested in law school to gain prior legal experience.
ESSENTIAL FUNCTIONS (This list is not exhaustive and may be supplemented and changed as necessary.)

A Junior Paralegal, under the supervision and direction of a Paralegal, helps to manage and organize the materials and information relating to particular matters and transactions. These duties allow them the opportunity to work with and assist our legal staff in preparing for due diligence investigations, document productions and transactional closings. The projects typically involve clerical duties and basic file organization tasks, and may require long hours and travel.

  • Assist with the formation of new corporate entities and corporate governance, e.g. draft basic board and stockholder written consents and meeting minutes, issue stock certificates, and assist with franchise tax filings
  • Assist paralegals with closings, e.g. assist in drafting ancillary closing deliverables and corporate authorization documents, order corporate documents, e.g. charters, bylaws, and good standings, prepare and inventory signature pages, and compile executed documents
  • Prepare and complete UCC search requests and compile information into UCC lien summary
  • Conduct legal research
  • Perform clerical tasks as needed, e.g. make copies, prepare packages, write correspondence letters, etc.
  • Commitment to work overtime as needed, which may be heavy at times, and may include weekends or holidays with potential to be for extended periods of time. Must be available to travel

Qualifications & Requirements

EDUCATION, WORK EXPERIENCE, SKILLS

  • The ideal Junior Paralegal candidate has a strong interest in corporate law. Excellent oral and written communication skills are necessary with the ability to interact professionally with staff, attorneys, paralegals, clients and vendors. The successful candidate must be able to work independently as well as with a team, have an acute attention to detail and the ability to multi-task and prioritize while working in a high pressure, deadline-driven environment. Strong technical skills are required, particularly Microsoft Word, Excel, Outlook, and a Document Management System; knowledge of Carpe Diem and Westlaw is a plus. Overtime availability is a must.
