WHAT WE ARE LOOKING FOR:

Aird & Berlis LLP is looking for a Law Clerk in the Financial Services Practice Group who will contribute to the overall excellent level of service provided to our clients. The successful candidate will possess excellent attention to detail and will work well under pressure and within tight deadlines. The ideal candidate should be a self starter, dedicated to the role and a team player.

REQUIREMENTS:

  • Minimum of two (2) years experience gained as a Financial Services or Transactional Law Clerk
  • Successful completion of a post-secondary Law Clerk program
  • Familiarity with the PPSA and UCC or a willingness to learn
  • Membership in good standing with Institute of Law Clerks of Ontario
  • Flexibility to work outside regular business hours when required and/or necessary

  • Thorough knowledge, understanding and ability to apply working knowledge of the relevant corporate statutes
  • Microsoft 365 Suite of Applications, CorpLink, eCore, Adobe Acrobat, Docusign and Closing Folders

Responsibilities:

  • Order, review and report on due diligence searches (Personal Property Security Act (“PPSA”), Uniform Commercial Code (“UCC”), and other corporate, lien and related searches
  • Under the supervision of a lawyer, assist with drafting closing agendas, officer’s certificates, directors resolutions, PPSA/UCC search summary letters, reporting letters, notices of assignment of tax credits and PPSA estoppels
  • Liaise with borrower’s counsel with regard to closing documentation
  • Prepare and register PPSA liens in the appropriate jurisdictions
  • Complete transaction record books
  • Update and maintain client forms and precedents
  • Accountable for all work assigned
