Job Description
We are looking for a person for a contract of a minumum duration of one year with the possibility of permanence. Under the supervision of the Senior Legal Director, the incumbent will advise on legal matters relating to the company’s clients and suppliers. Ideally, they will have a minimum of 4 years’ experience in business, transactional and corporate law. Their main responsibilities will be as follows:

  • Review professional services contracts;
  • Draft and/or revise various contracts and agreements (service offers, non-disclosure agreements, preliminary agreements);
  • Review tender documents;
  • Manage project insurance requests (PSPLs);
  • Draft and/or revise subcontractor contracts;
  • Keep minutes up to date;
  • Update the REQ;
  • Draft shareholder and director resolutions;
  • Manage share subscriptions, including returns on average assets (ROAA);
  • Keep the capital structure table up to date (cap table);
  • Offer support for dividend payments;
  • Manage and monitor litigation files (communicate with insurers and coordinat with relevant teams and external lawyers);
  • Act as an intermediary with insurers;
  • Manage insurance renewal files;
  • Prepare claims notifications for insurers;
  • Update accreditations with professional bodies and associations;
  • Manage information registered in the Carrefour Lobby Québec registry;
  • Identify and assess corporate and legal risks, then make appropriate recommendations.

QUALIFICATIONS

  • Bachelor’s degree in law or business administration, or equivalent experience
  • Be a member of the Quebec Bar
  • 4 to 7 years’ relevant experience
  • Perfect command of French and English, both spoken and written
  • Demonstrate a sense of responsibility, good judgement and flexibility
  • Demonstrate rigour and attention to detail, initiative, creativity and autonomy
  • Excellent knowledge of MS Office (Word, PowerPoint, Excel, etc.)
