RESPONSABILITIES:

  • Provide legal advice and prepare documentation related to specialized transactions (Refinancing, Inventory Financing, ABL, Factoring, Custom Programs, etc.)
  • Collect Sales and Credit information for the preparation of documents related to specialized transactions
  • Conduct RDPRM/PPSA research, analyze the results, and prepare any assignment or rank, subordination or release as appropriate
  • Negotiate and draft financing and guarantee agreements
  • Work with the Credit Department/Senior Legal Advisor to ensure that all preconditions have been satisfied prior to disbursement
  • Provide advice on regulatory requirements for Compliance, Legal, and Operational Risk management
  • Assist in the preparation and accuracy of Documentation policies and procedures
  • Ensure that policies and procedures are communicated and understood by Sales divisions and functional leaders
  • Provide post-funding asset management support with respect to waivers, letters of non-interest, assignment of rank received by MHCCA/MHCCL, and related to specialized transactions
  • Provide feedback on efficiency optimization
  • Collaborate on other duties as required by the position
